WHEREAS, Organizer operates and produces the event described below and is the legal owner or authorized licensee of tickets and related rights for that event; and

WHEREAS, Purchaser desires to purchase and resell or otherwise distribute a defined allocation of tickets to the event under the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows.

Late Payment: If any amount due is not received by Organizer within days after the due date, interest shall accrue at or the maximum rate permitted by law, whichever is lower.

If the Event is postponed, tickets shall remain valid for the rescheduled date unless otherwise agreed in writing. If the Event is cancelled, Organizer shall provide refunds or credit as described above, subject to reasonable administrative fees as set forth in the cancellation policy.

Termination for Cause: Either party may terminate this Agreement on written notice if the other party materially breaches any provision and fails to cure within days after receipt of written notice. Termination shall not relieve either party of obligations incurred prior to termination.

Termination Without Cause: Either party may terminate this Agreement without cause upon days prior written notice to the other party, subject to payment for any tickets already delivered or reserved.

Confidentiality

Each party agrees to keep confidential and not disclose to any third party any non-public commercial information received from the other party in connection with this Agreement, including pricing, allocations, marketing plans, and purchaser lists ("Confidential Information"), except as required by law or with prior written consent. Confidentiality obligations shall continue for a period of years following termination.

Indemnification

Purchaser shall indemnify, defend and hold Organizer harmless from and against any claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Purchaser's sale, distribution, or resale of tickets, breach of this Agreement, or negligent or willful misconduct by Purchaser or its agents.

Warranties and Representations

Each party represents and warrants that it has full authority to enter into this Agreement and perform its obligations, and that no consent of any third party is required to effectuate this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral. No modification, amendment or waiver of any provision of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Notices required under this Agreement shall be in writing and delivered to the addresses provided above. If any provision is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Organizer may assign to an affiliate or successor in interest.
