EVENT TICKET FORMAT AGREEMENT

RECITALS

This Agreement is entered into by and between:

WHEREAS, Organizer is producing an event and requires the design, specification and delivery of tickets for admission; and

WHEREAS, Supplier has the capability to produce ticket artwork, data-encoding (barcodes/QR), printing and/or electronic ticket files in accordance with Organizer specifications; and

NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the parties agree as follows.

SCOPE OF WORK

Supplier shall prepare and deliver ticket formats and related files as specified by Organizer. The work shall include ticket artwork layout, variable data layout (seat/holder information), encoding for barcodes or QR codes, print-ready files and, if applicable, physical printing and delivery in accordance with the schedule below. Specific deliverables and acceptance criteria are as set forth in the Scope of Work description.

All payments due under this Agreement are exclusive of taxes, duties or charges which shall be the responsibility of the party required by law to pay same unless otherwise agreed in writing.

Either party may terminate this Agreement for material breach if the breach is not cured within days after written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment for accepted deliverables.

CONFIDENTIALITY

Each party shall treat as Confidential Information all specifications, pricing, attendee lists, variable data and any proprietary materials disclosed in connection with the tickets, and shall not disclose such information except to employees or contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those herein. Confidential information shall not include information that is or becomes publicly available through no breach of this Agreement.

This Agreement, including any attachments and the Scope of Work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, proposals, negotiations and communications, whether oral or written. No amendment shall be binding unless made in writing and executed by authorized representatives of both parties.
