EVENT TICKETING AGREEMENT

Parties

This Event Ticketing Agreement (the "Agreement") is entered into as of by and between:

Recitals

WHEREAS, Organizer is producing, promoting and otherwise responsible for the presentation of the event described as: to occur on or about ; and

WHEREAS, Agent provides ticketing services, including sale, distribution and reporting of tickets via electronic and physical channels and has agreed to provide such services to Organizer under the terms set forth in this Agreement.

Scope of Services

Agent shall provide a full range of ticketing services for the Event including, without limitation: ticket inventory management; online and box-office sales; fulfillment and delivery; access control and scanning; customer service; reporting and settlement. Agent shall perform services in a professional manner consistent with industry standards and in compliance with applicable law.

Ticket Inventory and Pricing

Organizer shall provide ticket inventory and set the face value price for each ticket type. Agent shall list tickets for sale at the prices designated by Organizer and shall not change face value pricing without prior written approval from Organizer.

Payment Terms

Organizer shall pay Agent the fees described below in consideration for ticketing services. Agent shall provide a written settlement report itemizing gross receipts, refunds, fees, taxes and net remittance.

Refunds, Cancellations and Chargebacks

Refunds and cancellations shall be processed in accordance with Organizer's stated refund policy. Organizer is responsible for authorization of refunds beyond the published policy. Agent shall notify Organizer of any chargebacks or disputed transactions promptly and shall cooperate in resolving such disputes. Any fees incurred by Agent as a result of chargebacks shall be reimbursed by Organizer unless caused by Agent's negligence.

Term and Termination

This Agreement commences on the Effective Date and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach by the other party that remains uncured after days' written notice. Organizer may terminate for convenience upon days' written notice, subject to payment of fees for services performed through the termination date.

Confidentiality

Each party shall keep confidential all non-public business and ticket purchaser information disclosed by the other party, including but not limited to customer lists, sales data and pricing (collectively, "Confidential Information"). Confidential Information shall not be used except to perform obligations under this Agreement and shall not be disclosed to any third party without prior written consent, except as required by law. Confidentiality obligations shall survive termination for a period of years.

Data, Privacy and Access to Records

Agent shall maintain and protect ticket purchaser data in accordance with applicable privacy laws. Organizer shall be entitled to receive periodic reports and, upon reasonable notice, to audit sales and settlement records related to the Event. Agent shall not transfer or sell purchaser data to third parties except as necessary to provide services or as authorized in writing by Organizer.

Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party from and against third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement. Each party shall maintain commercial general liability insurance and, where applicable, cyber liability insurance sufficient for the performance of its obligations hereunder and shall provide evidence of insurance upon reasonable request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with any schedules or exhibits attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Notices

All notices required or permitted hereunder shall be in writing and shall be delivered to the addresses set forth below or such other address as a party may designate in writing.

Each party represents and warrants that it has the full right, power and authority to enter into this Agreement and to perform its obligations hereunder. Organizer represents that it holds or will obtain all necessary rights, licenses and approvals to present the Event.
