Upon termination or expiration, Recipient shall return or destroy Confidential Information as directed by Discloser and certify such return or destruction in writing if requested.

GOVERNING LAW

This Schedule shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Exclusive jurisdiction and venue for disputes shall be in the appropriate state or federal court located in that State.

ENTIRE AGREEMENT
