EVENT TURKEY BOWL AGREEMENT

Recitals

Insurance, Indemnification and Safety

Partner shall maintain general liability insurance covering the event with limits no less than $ per occurrence, naming Organizer as additional insured where applicable. Each party shall indemnify, defend and hold harmless the other from and against claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of that party's negligence or willful misconduct in connection with the Event.

Confidentiality

Each party acknowledges that it may receive confidential or proprietary information of the other party in connection with the Event. For purposes of this Agreement, Confidential Information means non-public information that is marked confidential or that a reasonable person would understand to be confidential. Each receiving party shall (a) use Confidential Information solely to perform its obligations under this Agreement, (b) restrict disclosure to those employees, contractors or agents who need to know and who are bound by confidentiality obligations at least as protective as those herein, and (c) take commercially reasonable measures to protect such information. Confidential Information does not include information that is or becomes publicly available without breach of this Agreement, already known by the receiving party, independently developed, or required to be disclosed by law, provided that the disclosing party is given prompt notice to seek protective measures.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the governing jurisdiction for any dispute arising out of or relating to this Agreement.

Entire Agreement
