EVENT WEBINAR AGREEMENT

This Event Webinar Agreement ("Agreement") is entered into by and between:

Recitals

WHEREAS, Organizer operates or sponsors educational and promotional webinars intended for an identified audience and desires to produce a webinar event described herein; and

WHEREAS, Presenter has expertise and capacity to deliver a webinar presentation, including any materials, slide decks, recordings, and related content; and

WHEREAS, the parties wish to set forth the terms by which Presenter will present and Organizer will host the webinar, including payment, intellectual property, confidentiality, and termination provisions.

Scope of Work

Presenter will prepare and deliver a webinar presentation substantially in accordance with the following description:

Presenter will deliver the live presentation, provide any agreed handouts or slide decks, and make reasonable efforts to be available for a question-and-answer session immediately following the presentation. Presenter will deliver final slide materials to Organizer not later than .

Payment Terms

Organizer will pay Presenter for services rendered as follows:

Unless otherwise agreed in writing, Organizer is responsible for timely payment of fees; Presenter may suspend performance for non-payment after fifteen (15) days written notice and may pursue all available remedies.

Recording, Rights and Use

Organizer may record the live webinar. Presenter hereby grants Organizer a non-exclusive, worldwide, perpetual license to reproduce, distribute, display, and otherwise use the recording and related materials for promotional and educational purposes, subject to the restrictions set forth below.

If revenue sharing is agreed, the parties will record terms in writing prior to distribution and payment; absent such written agreement, Organizer bears all distribution revenue and Presenter is entitled only to fees set forth in Payment Terms.

Confidentiality

Each party shall maintain in confidence any non-public business, technical, or financial information disclosed in connection with the webinar that is identified as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information does not include information that is (a) publicly known through no breach of this Agreement, (b) rightfully received from a third party without restriction, or (c) independently developed without use of the other party’s Confidential Information.

Receiving party will use Confidential Information only for performance under this Agreement and will take reasonable measures to protect it from unauthorized disclosure.

Term and Termination

This Agreement commences on and will terminate on , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice, except that Organizer may terminate for convenience upon thirty (30) days written notice with payment to Presenter for all services performed and non-cancellable obligations.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold the other harmless from and against any third-party claims arising from the indemnifying party’s negligence, willful misconduct, or breach of this Agreement. Neither party will be liable for consequential, incidental, special, or punitive damages except for liability arising from willful misconduct or gross negligence.

Insurance and Compliance

Presenter shall maintain appropriate insurance and comply with all applicable laws, rules, and platform terms in performing the services. Presenter is responsible for the accuracy of its content and for obtaining any third-party permissions required for use of copyrighted material.

Data Protection

Each party shall handle any personal data shared in connection with the webinar in accordance with applicable privacy law. Organizer’s use of attendee data for marketing requires compliance with applicable consent and opt-out obligations.

Governing Law; Entire Agreement

This Agreement will be governed by and construed in accordance with the laws of the state of , without regard to principles of conflicts of law.

This Agreement constitutes the entire agreement between the parties with respect to the webinar and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.

Miscellaneous

No amendment will be effective unless in writing signed by both parties. If any provision is held unenforceable, the remainder will remain in full force and effect. Neither party may assign this Agreement without the other’s prior written consent, except to an affiliate or successor in interest.

Notices under this Agreement shall be given in writing to the addresses set forth above and will be effective upon receipt.
