CONFIDENTIALITY

RECORDING, INTELLECTUAL PROPERTY, AND MARKETING

The parties agree the Webinar may be recorded. If recorded, Presenter grants Organizer a non-exclusive, royalty-free license to use, reproduce, and distribute the recording for promotional and educational purposes, subject to Presenter retaining moral rights in original authored materials. Any third-party materials used by Presenter must be licensed for the Organizer's intended use.

Organizer may use Presenter’s name, biography, and provided headshot for promotional activities in connection with the Webinar. Presenter represents and warrants that the materials provided do not infringe third-party rights.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Each party shall indemnify and hold harmless the other from any claims arising out of breach of representations, willful misconduct, or negligence. Except for liability arising from willful misconduct or gross negligence, neither party’s aggregate liability shall exceed the total fees paid under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
