EVENT WEBINAR PACKAGE CONTRACT

This Event Webinar Package Contract ("Agreement") is entered into as of by and between Service Provider: and Client Name: .

WHEREAS

WHEREAS, Service Provider provides professional webinar production, hosting, and technical support services specifically tailored for online events; and

WHEREAS, Client desires to engage Service Provider to produce and host one or more webinars under the terms set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding the services, payment, confidentiality, and ownership of deliverables.

SCOPE OF SERVICES

Service Provider will provide webinar production and hosting services as described in the Scope of Work below. The Scope of Work establishes the deliverables, event timing, technical responsibilities, and acceptance criteria for each webinar engagement.

PAYMENT TERMS

Client agrees to pay Service Provider the Total Fee described below in exchange for delivery of the Services. All fees are stated in USD unless otherwise indicated.

Balance due within days of invoice. Late payments shall accrue interest at % per month (or the maximum permitted by law), plus reasonable collection costs.

TERM AND TERMINATION

The term of this Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience upon days' prior written notice. Termination for material breach is permitted where the breaching party fails to cure within days after receipt of written notice specifying the breach.

Upon termination, Client shall pay for all services performed and non‑refundable expenses incurred through the effective date of termination. Cancellation by Client within days of a scheduled webinar will incur a cancellation fee equal to of the Total Fee.

CONFIDENTIALITY

"Confidential Information" means non-public business, technical, and financial information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that is publicly available through no breach of this Agreement, rightfully received from a third party without restriction, or independently developed without reference to Confidential Information.

Each party shall: (a) use Confidential Information solely for performance under this Agreement; (b) restrict disclosure to employees, contractors, and agents who have a need to know and are bound by obligations of confidentiality no less protective than those in this Agreement; and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidentiality obligations shall survive termination for years.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Client shall own the content it provides and any final recordings of the webinar following full payment of fees. Service Provider retains ownership of pre-existing materials, platform tools, templates, scripts, and any general know-how used to perform the Services. Service Provider grants Client a non-exclusive, non-transferable license to use recorded webinar materials for internal and promotional purposes as set forth in the Scope of Work.

If Client requires assignment of Service Provider intellectual property, the parties will document the scope, consideration, and timing of such assignment in writing. Specify required deliverables for assignment here:

INDEMNIFICATION; LIMITATION OF LIABILITY

Each party shall indemnify, defend and hold harmless the other from third-party claims arising out of the indemnifying party's breach of this Agreement, gross negligence, or willful misconduct. Except for liability resulting from a party's gross negligence or willful misconduct or indemnification obligations, neither party's aggregate liability for direct damages shall exceed the Total Fee paid under this Agreement. In no event shall either party be liable for incidental, consequential, special, or punitive damages.

TECHNICAL SUPPORT; REHEARSAL

Service Provider will provide hours of rehearsal/support as part of the package. Additional technical support is available at the rate of per hour.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. The parties will attempt in good faith to resolve disputes through negotiation prior to initiating litigation.

ENTIRE AGREEMENT

This Agreement, including the Scope of Work and any written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to an affiliate or in connection with a sale of substantially all assets. Notices shall be given in writing and delivered to the addresses set forth above.
