Scope of Work

Vendor shall provide the services described below in a professional manner consistent with industry standards. Client acknowledges that any changes to the scope must be documented in writing and may result in additional fees.

Cancellation; Force Majeure

If Client cancels this Agreement more than days prior to the Event Date, Vendor will retain the deposit as a cancellation fee. If Client cancels within the period specified above, Client will be responsible for the deposit plus any non‑refundable third‑party costs incurred by Vendor. Vendor shall use reasonable efforts to mitigate costs.

Neither party shall be liable for failure or delay in performance due to acts of God, government restrictions, strikes, pandemics, or other causes beyond reasonable control (Force Majeure). In the event of Force Majeure, the affected party shall provide prompt written notice and the parties shall negotiate in good faith to reschedule or otherwise address the impact.

This Agreement may be terminated by either party for material breach if the breaching party fails to cure the breach within days following written notice. Termination by Client does not relieve Client of payment obligations for services performed and non‑refundable expenses incurred prior to termination.

Confidentiality

Each party agrees that it will not disclose confidential information of the other party received in connection with this Agreement, except to employees, agents, or subcontractors who need access to perform obligations hereunder and who are bound by confidentiality obligations. Confidential information does not include information that is or becomes publicly available without breach of this Agreement or is independently developed by the receiving party.

Client acknowledges that Vendor may use photographs or a description of the Event for Vendor's promotional purposes unless Client checks here to prohibit such use:

Indemnification; Limitation of Liability

Each party shall indemnify and hold harmless the other from third‑party claims arising out of its negligent acts or willful misconduct in connection with this Agreement. Except for liability arising from gross negligence or willful misconduct, Vendor's total aggregate liability for any claim arising out of this Agreement shall not exceed the total fees paid by Client to Vendor under this Agreement.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

This Agreement, including any attachments or written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written.

Amendments; Notices

Any amendments to this Agreement must be in writing and signed by both parties. Notices required by this Agreement shall be given in writing and delivered to the addresses set forth above or to other addresses provided in writing by either party.
