Event Welcome Dinner Agreement

This Event Welcome Dinner Agreement ("Agreement") is made as of by and between:

WHEREAS

WHEREAS, Event Organizer is engaged to provide event planning and on-site management services for a Welcome Dinner to be held in connection with the Client's event; and

WHEREAS, Client desires to engage Event Organizer to coordinate, manage, and supervise the Welcome Dinner as set forth in this Agreement, and Event Organizer agrees to perform such services under the terms and conditions hereinafter set forth.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

Scope of Work

Payment Terms

Total Fee: $ payable in accordance with the schedule below.

Balance Due By: unless otherwise agreed in writing. All sums are payable in lawful currency.

Late Payment: If any payment is not received within days of the due date, interest shall accrue at % per month on the outstanding balance, or the maximum permitted by law, whichever is lower. Client shall also be responsible for any collection costs and reasonable attorneys' fees incurred by Event Organizer in enforcing payment.

Either party may terminate this Agreement for convenience upon written notice to the other party at least days prior to the effective termination date. Event Organizer may terminate immediately for cause if Client fails to pay when due or otherwise materially breaches this Agreement and fails to cure within ten (10) days of receipt of written notice.

Confidentiality

Each party acknowledges that during the performance of this Agreement it may obtain confidential or proprietary information of the other party, including but not limited to guest lists, pricing, vendor agreements, and event logistics ("Confidential Information"). Each party agrees to hold Confidential Information in strict confidence and not to disclose it to any third party except to employees, contractors, or vendors who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein. Confidential Information does not include information that is or becomes generally available to the public other than through a breach of this Agreement or information lawfully received from a third party without breach of any obligation of confidentiality.

Upon termination or expiration of this Agreement, each party shall promptly return or destroy the other party's Confidential Information and certify in writing its compliance upon request.

Indemnification

Client shall indemnify, defend and hold Event Organizer, its officers, employees and agents harmless from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by Event Organizer's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for any disputes arising under this Agreement.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, proposals, understandings and agreements, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by authorized representatives of both parties.

Notices

Notices under this Agreement shall be in writing and delivered to the addresses provided by the parties. Notices are effective upon delivery if delivered personally, by nationally recognized overnight courier, or three (3) business days after deposit in the United States mail, postage prepaid.
