Parties

This Event Workshop Contract ("Agreement") is entered into by and between Client Name: , Address: (hereinafter "Organizer") and Presenter Name: , Address: (hereinafter "Presenter"). The Organizer and Presenter are each a "Party" and collectively the "Parties."

Recitals

WHEREAS, Organizer desires to engage Presenter to deliver a professional workshop as described below at Organizer's event; and

WHEREAS, Presenter represents that Presenter has the skill, experience and capacity to deliver the services described in this Agreement and will perform such services as an independent contractor in accordance with the terms herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:

Payment Terms

Fee for Services: The Organizer shall pay Presenter a total fee of $ for the services described in this Agreement.

Term and Termination

Cancellation by Organizer: If Organizer cancels within days of the scheduled date, Organizer shall pay of the total fee as liquidated damages to Presenter.

Confidentiality

Each Party agrees to treat as confidential and not to disclose to any third party any non-public information received from the other Party in connection with the performance of this Agreement, except to the extent such information (i) is already lawfully known to the receiving Party, (ii) becomes publicly available other than through a breach of this Agreement, or (iii) is required to be disclosed by applicable law or court order (provided the disclosing Party gives prompt written notice to the other Party). Confidential information does not include general skills, knowledge or experience retained in the unaided memory of the receiving Party.

Intellectual Property and Recording

Ownership: Unless otherwise agreed in writing, Presenter retains all intellectual property rights in materials, presentations and curricula developed by Presenter prior to or independently of this Agreement. Organizer is granted a limited, non-exclusive license to use Presenter-provided materials solely for internal use in connection with the Event.

Recording: Recording, live-streaming or distribution of the workshop by Organizer is permitted only with Presenter’s prior written consent. If consent is granted, any use or distribution must credit Presenter and any agreed-upon license fee or revenue share will be paid as specified:

Insurance, Indemnity and Independent Contractor

Independent Contractor: Presenter is an independent contractor and not an employee of Organizer. Presenter is solely responsible for all taxes, withholdings, and other statutory obligations of an independent contractor.

Insurance and Indemnity: Each Party shall maintain appropriate commercial general liability insurance. Presenter shall indemnify and hold Organizer harmless from third-party claims arising from Presenter's negligent acts or omissions in the performance of services. Organizer shall indemnify and hold Presenter harmless from claims arising from Organizer's negligence or breach of this Agreement.

Representations and Warranties

Each Party represents that it has full power and authority to enter into this Agreement and to perform its obligations. Presenter represents that the services will be performed in a professional manner and in accordance with generally accepted industry standards.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

Entire Agreement and Amendments

This Agreement constitutes the entire understanding between the Parties regarding the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether oral or written. Any amendment or modification of this Agreement must be in writing and signed by both Parties.
