EVENT WORKSHOP PROMOTION AGREEMENT

This Event Workshop Promotion Agreement ("Agreement") is entered into as of Date: between Organizer Name: and Promoter Name: .

WHEREAS

(a) Organizer will conduct a workshop or series of workshops described herein and desires to engage Promoter to provide promotional services to maximize attendance and visibility;

(b) Promoter represents that it has the experience, personnel, and resources to perform the promotional services set forth in this Agreement on the terms and conditions provided below;

(c) The parties desire to set forth their respective responsibilities, compensation, confidentiality commitments, and other terms governing the promotion of the workshop.

EVENT DETAILS

SCOPE OF WORK

Promoter shall perform promotional services for the Event as described below. Promoter's obligations include the creation, delivery, and management of promotional assets and distribution in accordance with timelines and approval processes set forth in this Agreement.

PAYMENT TERMS

Organizer shall pay Promoter the fees set forth below in consideration for the promotional services. Fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

The term of this Agreement shall commence on Start Date: and continue through End Date: unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice to the other party provided at least Notice Period: days prior to the effective termination date. Termination for material breach shall be effective upon failure to cure the breach within thirty (30) days after written notice of such breach.

CONFIDENTIALITY

Each party acknowledges that in performing under this Agreement it may receive confidential or proprietary information of the other party ("Confidential Information"). Each party agrees to (i) hold Confidential Information in strict confidence, (ii) use such information solely for performance of this Agreement, and (iii) disclose Confidential Information only to employees, contractors, or agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party or that is rightfully obtained from a third party without restriction. The confidentiality obligations shall survive termination of this Agreement for a period of three (3) years.

INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Organizer retains all right, title, and interest in materials provided to Promoter by Organizer. Promoter is granted a limited, non-exclusive license to use Organizer's trademarks, trade names, and provided materials solely for the purposes of performing the promotional services during the term of this Agreement. Any new creative work produced by Promoter specifically for the Event shall be owned by Organizer upon full payment, except where third-party licenses or preexisting Promoter materials are incorporated; in such cases Promoter grants Organizer a perpetual, non-exclusive license to use such materials for promotion of the Event.

CANCELLATION AND REFUND

If Organizer cancels the Event more than Cancellation Notice: days prior to the first scheduled workshop date, Organizer shall be entitled to a refund of all fees paid less non-recoverable costs. If cancellation occurs within such notice period, Organizer shall be liable for Cancellation Fee: . Promoter shall use reasonable efforts to mitigate costs upon cancellation.

INDEMNITY

Each party shall indemnify, defend and hold harmless the other party from and against any claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's gross negligence, willful misconduct, or material breach of this Agreement, provided that the indemnified party gives prompt written notice of any claim and reasonably cooperates in defense.

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder, and that performance will not violate any agreement with a third party.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates an employment, partnership or agency relationship.

Neither party may assign this Agreement without the prior written consent of the other party, except to a successor in interest in connection with a merger, acquisition or sale of substantially all assets.
