EVENT XMAS SHOW AGREEMENT

RECITALS

WHEREAS, Client desires to engage Producer to plan, manage and present a public holiday-themed performance titled "Event Xmas Show" (the Event) at the Venue specified below under the terms set forth in this Agreement; and

WHEREAS, Producer represents that it has the personnel, experience, and resources necessary to produce the Event in a professional manner consistent with industry standards; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to production, payment, confidentiality, insurance and termination.

SCOPE OF WORK

Producer shall perform the following services for the Event. Services include, without limitation, production management, talent coordination, stage and sound production, lighting, technical direction, rehearsal supervision, and event day management. Producer shall obtain all necessary crew, union clearances (if applicable), and licenses required to present the Event.

PAYMENT TERMS

Compensation: Client shall pay Producer a total fee of USD for the services described herein.

Late Payment: Any undisputed amount not paid when due shall accrue interest at the rate of , and Client shall also be responsible for reasonable collection costs, including attorneys' fees.

Either party may terminate this Agreement for cause if the other party materially breaches this Agreement and fails to cure such breach within days after written notice specifying the nature of the breach. Termination by Client without cause after commencement of services shall not relieve Client of payment obligations for services performed and costs reasonably committed by Producer prior to termination.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any Confidential Information of the other party (the Disclosing Party) disclosed in connection with this Agreement. Confidential Information includes non-public financial terms, technical data, personnel information, pricing, and proprietary production methods. Confidentiality obligations shall not apply to information that (a) is or becomes publicly known other than through a breach by the Receiving Party, (b) is rightfully received from a third party without restriction, (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information, or (d) is required to be disclosed by law or court order, provided the Receiving Party gives prompt written notice to the Disclosing Party to allow for protective measures.

The obligations of confidentiality shall continue for following termination or expiration of this Agreement. Breach of confidentiality shall entitle the Disclosing Party to injunctive relief in addition to any other remedies.

INSURANCE; INDEMNIFICATION

Producer shall procure and maintain, at Producer's expense, commercial general liability insurance covering the Event with limits not less than:

Indemnification: Each party shall indemnify, defend and hold harmless the other party and its officers, agents and employees from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from that party's negligence, willful misconduct, or material breach of this Agreement, except to the extent caused by the indemnitee's negligence or willful misconduct.

FORCE MAJEURE

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, governmental actions, public health emergencies, fire, flood, strike, or other labor disturbance, provided the affected party gives prompt notice to the other and makes reasonable efforts to resume performance. If a force majeure event continues for more than , either party may terminate this Agreement without liability except for payment for services performed through the date of termination.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. The parties shall attempt in good faith to resolve disputes through negotiation. If negotiation fails, disputes shall be resolved by binding arbitration conducted in the county where the Event is held unless the parties agree otherwise in writing.

ENTIRE AGREEMENT; AMENDMENTS

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.
