EXCLUSIVE GRANT AND TERM

Seller hereby grants Broker the exclusive right to market and procure a buyer for the Property for a term commencing on and ending on (the "Term"). During the Term Broker shall have the exclusive right to list, advertise, show, and negotiate sale of the Property.

FINANCIAL TERMS

Commission to Broker: of the gross sale price and/or a net listing fee of . Commission is earned if during the Term or any extension a sale is closed or a buyer procured who is ready, willing and able to purchase on terms acceptable to Seller.

BROKER DUTIES AND AUTHORITY

Broker shall use reasonable efforts to market the Property, procure prospects, present offers promptly to Seller, and cooperate with other brokers. Broker is authorized to place signs, advertise, list the Property on multiple listing services, to hold open houses, and to engage cooperating brokerages. Broker shall not incur expenses on behalf of Seller without Seller's prior written consent.

SELLER OBLIGATIONS

Seller represents and warrants that Seller has full authority to enter this Agreement, that the Property will be available for showings, and that Seller will provide all material facts and disclosures known to Seller concerning the condition of the Property. Seller will refer all prospects directly to Broker during the Term.

INSPECTIONS AND ENTRY

Seller shall permit reasonable inspections by prospective buyers and their agents. Seller authorizes Broker to coordinate inspections and to provide access pursuant to buyer requests, subject to reasonable notice and mutually agreed times.

COOPERATION WITH OTHER BROKERS AND AGENCY DISCLOSURE

Broker may cooperate with other brokers and offer compensation to cooperating brokers. Broker may act as dual agent if both Seller and Buyer provide informed, written consent; Broker shall disclose any potential conflicts and obtain written consent prior to entering into dual agency.

DEFAULT, REMEDIES AND TERMINATION

If Seller breaches this Agreement, Seller shall be liable for Broker's actual damages including the agreed commission if a sale results from Broker's efforts. If Broker materially breaches duties, Seller may terminate this Agreement after written notice and a 10-day opportunity to cure. Termination does not affect obligations or liabilities accrued prior to termination.

INDEMNIFICATION

Seller agrees to defend, indemnify and hold Broker harmless from claims arising out of Seller's misrepresentations, failure to disclose material facts, or Seller's breach of this Agreement, except where Broker's gross negligence or willful misconduct is the proximate cause of such claim.

NOTICES

All notices under this Agreement must be in writing and delivered to the addresses provided above by hand delivery, nationally recognized overnight courier, or certified mail. Notice is effective upon receipt.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by the substantive laws of the state where the Property is located without regard to its conflict of law principles. This Agreement contains the entire understanding between the parties with respect to the subject matter herein and may be modified only by a written instrument signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect. Time is of the essence with respect to all dates and deadlines in this Agreement where applicable.
