Exclusive Grant and Agency

Seller hereby grants Broker the exclusive right to sell the Property for the Listing Price set forth below. Broker is authorized to list the Property on the multiple listing service, advertise, hold open houses, show the Property to prospective buyers, receive and present offers, negotiate terms, and to cooperate with cooperating brokers. This grant is exclusive and shall continue for the Term specified in this Agreement unless earlier terminated in accordance with this Agreement.

Term

The term of this Agreement shall commence on and shall expire on , unless otherwise extended in writing or terminated earlier pursuant to this Agreement.

Financial Terms

Commission shall be earned if, during the Term or any extension, a ready, willing and able buyer procures a contract to purchase the Property, or if the Property is sold, transferred, or exchanged to any person who was introduced to the Property during the Term. Commission is payable from the proceeds of the sale at closing unless otherwise agreed in writing.

Marketing Authorization

Seller authorizes Broker to take photographs, prepare floor plans, place "For Sale" signs, advertise in print and electronic media, list the Property on the multiple listing service, and conduct open houses and showings. Seller grants permission for access by cooperating brokers and their prospective purchasers during reasonable hours and pursuant to appointment instructions below.

Seller Representations and Disclosures

Seller represents that the information provided below is true to the Seller's knowledge. Seller will promptly deliver to Broker any disclosure statements and known material facts affecting the Property.

Access, Possession and Keys

Seller agrees to permit Broker and cooperating brokers reasonable access to the Property for showings during the Term. Possession at closing shall be delivered to the buyer subject to existing tenancies unless otherwise agreed in writing. Keys, codes, and alarm instructions will be provided to Broker as follows:

Broker and Seller Covenants

Broker will exercise reasonable efforts to market the Property, present offers promptly to Seller, maintain records of activities, and cooperate with other brokers. Seller will provide accurate information, maintain the Property in its current condition (ordinary wear and tear excepted), and promptly notify Broker of any material changes affecting the Property. Seller acknowledges that Broker does not guarantee a sale by a particular date.

Default and Remedies

If Seller breaches this Agreement, Broker shall be entitled to recover actual damages including the commission specified herein if the breach results in a sale to a party procured by Broker or any cooperating broker. If Broker breaches this Agreement, Seller may terminate and seek damages as provided by law. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral, except for any written amendments signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by personal delivery, certified mail, or other delivery service that provides proof of delivery.

Miscellaneous Provisions

Any amendment to this Agreement must be in writing and signed by both Seller and Broker. If any provision is held invalid, the remaining provisions shall remain in full force. Seller authorizes Broker to share listing information with cooperating brokers and to disclose material facts about the Property as required by law.

Acknowledgment

By signing below, Seller acknowledges receipt of a copy of this Agreement, confirms the accuracy of the information provided herein, and affirms authority to enter into this Agreement. Broker acknowledges acceptance of this listing and agrees to act in accordance with applicable laws and professional standards.
