Compensation

Owner agrees to pay Broker as compensation for procuring a ready, willing and able buyer as follows:

Commission is earned upon mutual acceptance of an offer, but payable at closing or earlier upon Owner's default, sale to a buyer procured by Owner within days after termination, or as otherwise provided herein.

Owner represents that Owner is the sole legal owner of the Property, has authority to enter this Agreement, and that there are no undisclosed contracts, leases, or encumbrances that would materially affect sale of the Property other than those disclosed below.

Default, Remedies & Termination

If Owner breaches this Agreement after a contract for sale has been procured by Broker, Owner agrees to pay the agreed commission as liquidated damages or pursue other remedies available at law or equity. Broker may terminate this Agreement for material breach by Owner upon written notice if such breach remains uncured for a period of ten (10) days following notice.

Conflicts, Agency & Consent

Broker will disclose any known conflicts of interest. If dual or designated agency is applicable under state law and both parties consent, the terms of such agency will be set forth in writing and signed by Owner and Broker.

Owner acknowledges receipt of any required written agency disclosure and consents to Broker's actions consistent with this Agreement.

Indemnity, Governing Law & Entire Agreement

Owner agrees to indemnify and hold Broker harmless from claims arising from Owner's misrepresentations. This Agreement is governed by the laws of the state in which the Property is located. This Agreement constitutes the entire agreement between the parties and may be modified only by a written instrument signed by both Owner and Broker.

Miscellaneous

Notices required under this Agreement shall be in writing and delivered to the contact addresses provided above. Time is of the essence with respect to Owner's obligations to cooperate in scheduling showings and providing access.

Acknowledgment
