Owner grants Broker the exclusive and irrevocable right to market, advertise, and procure a buyer for the Property on the terms set forth in this Agreement for the Listing Term. Owner authorizes Broker to place signs, place the property in cooperative listing services (MLS), hold open houses, photograph and advertise the Property, and to cooperate with other brokers and agents.

Broker Duties and Authority

Broker shall use reasonable efforts to market the Property, recommend pricing and terms, facilitate showings, present offers to Owner promptly, and assist with negotiations and closing. Broker is authorized to list the Property in the local multiple listing service, cooperate with other brokers, place "For Sale" signage, take photographs, and place advertisements on behalf of Owner.

Owner authorizes Broker to accept deposit checks into Broker's trust account pending closing and to disburse such deposits in accordance with the purchase agreement and applicable law.

Seller Representations and Disclosures

Owner represents and warrants that Owner is the lawful owner of the Property and has full authority to enter into this Agreement, that all information provided to Broker is true and complete to Owner's knowledge, and that there are no undisclosed material defects affecting the Property.

Default, Remedies and Termination

If Owner breaches this Agreement, Broker shall be entitled to recover commission, costs and damages as provided by law. Broker may terminate this Agreement for material breach by Owner after providing written notice and a reasonable opportunity to cure. Termination does not affect Broker's right to commission for transactions procured during the Listing Term or for protected buyers introduced to the Property during the Listing Term and any protection period specified below.

Costs and Expenses

Owner shall be responsible for reasonable advertising costs and expenses incurred by Broker in marketing the Property if pre-authorized in writing by Owner. All such costs shall be itemized and supported by receipts upon request.

Indemnity and Insurance

Owner agrees to indemnify and hold Broker harmless from claims, liabilities, damages or expenses arising from Owner's breach of this Agreement, misrepresentations, or failure to disclose material facts. Owner is responsible for maintaining insurance on the Property until closing.

Governing Law; Entire Agreement

This Agreement shall be governed by the laws of the state specified below. This Agreement constitutes the entire agreement between the parties concerning the listing of the Property and supersedes all prior discussions and agreements. Any amendment must be in writing and signed by both parties.
