Owner hereby grants Broker the exclusive right to rent the Property described above for the Term set forth below. During the Term Broker has the exclusive authority to list, market, show, and to procure tenants for the Property, and Owner agrees not to engage any other broker or to independently negotiate rental of the Property without first terminating this Agreement in accordance with its terms.

This Agreement shall remain in effect for the Term above and for any signed lease procured by Broker during the Term. Owner acknowledges that Broker's right to compensation survives termination as provided in this Agreement if a Tenant procured by Broker executes a lease within days after termination.

Compensation & Fees

Commission: Owner agrees to pay Broker a commission equal to of the total lease term gross rent, or a flat fee of , whichever is selected by broker and agreed in writing.

Commission Payable: Commission is due and payable upon the earlier of (a) execution of a lease by a tenant procured by Broker, or (b) the tenant taking possession of the Property. Owner authorizes application of any holding deposit toward payment of Broker commission as provided in the lease or deposit agreement.

Marketing, Advertising, and Showing

Broker is authorized to place signs, advertise, list the Property on multiple listing services and other media, and to hold open houses. Owner authorizes Broker to use photographs and floor plans of the Property for marketing purposes.

Tenant Screening & Applications

Security Deposit, Rent Collection & Trust Handling

Broker shall remit rents to Owner less authorized fees within business days after receipt, together with accounting statements unless otherwise agreed in writing.

Maintenance, Repairs & Access

Routine maintenance and repairs costing less than may be authorized by Broker without prior Owner approval. Repairs above that amount require Owner authorization except in emergencies that threaten health, safety, or preservation of property.

Owner warrants that Owner is the lawful owner of the Property and has full authority to enter this Agreement. Owner agrees to maintain property and liability insurance covering the Property and to hold Broker harmless from claims arising from Owner's failure to maintain insurance or to disclose material facts.

If Owner materially breaches this Agreement, Broker may terminate this Agreement and pursue recovery of fees and damages. If Broker breaches material duties described herein, Owner may terminate upon written notice and pursue available remedies at law or equity. Owner agrees that money damages may be inadequate and that Broker is entitled to equitable relief, including specific performance, for breaches affecting Broker's right to compensation.

Governing Law; Entire Agreement; Severability

This Agreement shall be governed by the laws of the state where the Property is located. This Agreement constitutes the entire agreement between Owner and Broker regarding the exclusive right to rent the Property and supersedes all prior agreements, whether written or oral. If any provision is held invalid, the remaining provisions shall remain in full force and effect.

Miscellaneous Provisions

Notices required under this Agreement shall be in writing and delivered to the addresses provided above, or to such other address as a party may designate in writing. Time is of the essence with respect to Owner's obligations to execute leases and to approve repairs as required herein.
