What an Exclusive Right to Sale Agreement Is and When It Applies

An Exclusive Right to Sale Agreement is a written contract between a property owner (seller) and a real estate broker that gives the broker the exclusive authority to market and sell the property during a defined term. Under this arrangement the broker earns a commission if the property is sold by any party during the term, including the owner, a third-party buyer, or another broker. Typical provisions cover property description, listing price and terms, broker duties, marketing rights, commission percentage, the exclusive period, and termination conditions. Where permitted by law, electronic signing under ESIGN and UETA establishes enforceability for properly executed agreements.

Why Parties Use an Exclusive Right to Sale Agreement

The agreement clarifies representation, centralizes marketing, and protects the broker’s right to a commission while providing sellers a single point of contact for offers and negotiations.

Why Parties Use an Exclusive Right to Sale Agreement

Typical Users and When They Engage

Sellers, listing brokers, and brokerage firms commonly execute this agreement before listing a property to define responsibilities and payment terms.

  • Individual sellers seeking professional marketing and buyer procurement
  • Licensed real estate brokers documenting commission and duties
  • Brokerage firms standardizing listing terms across agents

The agreement is also used by legal counsel and title/escrow officers to confirm authority and ensure smooth transfer to closing once a buyer is procured.

Core Parts of a Professional Exclusive Right to Sale Agreement

A complete agreement organizes responsibilities, payment, timing, and legal protections so both seller and broker understand expectations during the listing period.

Parties

Full legal names for seller(s) and broker, including broker license number and brokerage entity, to ensure enforceability and correct recordkeeping.

Property

Complete legal description and street address, including parcel number when available, so the listing matches title and escrow documents without ambiguity.

Listing Terms

Listing price, accepted financing types, exclusions/inclusions, and MLS authorization that define how the property will be marketed and what terms are acceptable.

Commission

Percentage or flat fee, payment timing, and circumstances that trigger commission (sale during term, procured buyer, post-term protections).

Exclusive Period

Start and end dates for exclusivity, renewal mechanics, and termination events such as breach or mutual agreement.

Broker Duties

Required marketing activities, reporting frequency, cooperation with cooperating brokers, and disclosure obligations to the seller.

Common Preparation Pitfalls to Avoid

  • Using an informal or incomplete property description that mismatches title and delays escrow.
  • Entering a seller name that differs from title, causing documentation and disbursement issues at closing.
  • Failing to specify precise commission triggers, leading to disputes if a buyer appears after the term.
  • Neglecting MLS rules or required seller disclosures that can expose broker and seller to regulatory penalties.

Consequences of an Incorrect or Incomplete Agreement

Commission Dispute: May result in litigation or arbitration
Double Listing Risk: Multiple brokers may claim commission
Rescission Risk: Buyer may seek to cancel for defects
Regulatory Penalties: Violations of state brokerage rules possible
Delayed Closing: Incorrect names or missing authority slow escrow
Tax Reporting Issues: Incorrect entity details affect 1099 reporting

Who Signs and Why Their Role Matters

Listing Broker — Agent

The broker or licensed agent signs to accept the exclusive appointment and to confirm authority to market. Their signature establishes broker obligations, identifies the brokerage responsible for commissions, and binds the brokerage to duties described in the agreement.

Seller — Property Owner

An owner or authorized signatory for an entity signs to grant exclusive rights; accurate legal name and authority must match title and ownership documents to ensure a valid transfer at closing.
