Listing Term

The Seller grants the Brokerage the exclusive right to sell the Property for the term commencing on and expiring on . During the Listing Term the Seller will not list, advertise, or negotiate the sale of the Property through any other broker or agent.

Protection (tail) period: Seller agrees that if a sale to a buyer procured by Broker occurs within days after the expiration or termination of this Agreement, the Broker shall be entitled to the commission provided herein.

Financial Terms

Seller Representations, Disclosures & Access

The Seller represents that Seller has full authority to sell the Property, that title is free of undisclosed liens and encumbrances, and that all material facts known to Seller regarding the Property have been disclosed to Broker. Seller will deliver to prospective buyers all statutorily required disclosures and will permit Broker and prospective buyers reasonable access for showings and inspections.

Inspections and Contingencies

Seller acknowledges that buyers may obtain inspections and appraisals. Seller agrees to reasonably cooperate with inspections and to provide access to the Property. Any inspection contingency or financing contingency shall be set forth in the purchase agreement; Broker shall use best efforts to present and negotiate offers but is not responsible for the outcome of any buyer contingency.

Default, Commission Protection & Remedies

If Seller breaches this Agreement or intentionally obtains a sale outside the terms of this Agreement to avoid payment of commission to Broker, Seller remains obligated to pay the commission agreed herein. If Broker procures a ready, willing and able buyer during the Listing Term or the protection period, Seller shall pay commission regardless of whether closing occurs due to Buyer default, subject to any written agreement to the contrary. Broker may seek injunctive or monetary relief and shall be entitled to reasonable attorneys' fees and costs if it prevails in enforcement of this Agreement.

Indemnification & Insurance

Seller shall indemnify, defend and hold Broker and its agents harmless from claims, liabilities or expenses arising from Seller's misrepresentations, undisclosed defects, or breach of this Agreement, except to the extent caused by Broker's gross negligence or willful misconduct. Seller is encouraged to maintain hazard insurance and to confirm insurance coverage until transfer of title.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state of . This Agreement constitutes the entire understanding between the Parties regarding the listing of the Property and supersedes all prior negotiations, representations, or agreements. Any amendment must be in writing signed by both Parties.

Termination

This Agreement may be terminated by mutual written consent, by expiration of the Listing Term, or as otherwise provided herein. Termination shall not affect Broker's right to commissions earned prior to termination or under the protection period herein.

Notices

All notices required or permitted under this Agreement shall be delivered in writing to the contact information provided in this Agreement and shall be effective upon personal delivery or three business days after deposit with the United States Postal Service, postage prepaid, addressed to the other party.
