What an Executed Letter of Intent Is and When Parties Use It

An Executed Letter of Intent is a written document signed by the involved parties to record agreed-upon preliminary deal terms before preparing a definitive agreement. It commonly lists price, scope, exclusivity, confidentiality, due diligence timelines, and closing conditions. Some provisions may be expressly binding (for example, confidentiality or exclusivity), while other provisions remain nonbinding framework statements to guide negotiation. Executed LOIs are used across M&A, real estate, procurement, and joint-venture contexts to align expectations and provide a roadmap for drafting the final contract.

Why an Executed Letter of Intent Matters for Transactions

An Executed Letter of Intent clarifies material business terms early, reduces negotiation friction, preserves bargaining positions, and can create binding obligations for confidentiality, exclusivity, or breakup fees. It reduces misunderstanding and helps allocate risk before parties invest in detailed contracts.

Why an Executed Letter of Intent Matters for Transactions

Who Prepares and Signs an Executed Letter of Intent

Corporate development, business owners, brokers, investors, and outside counsel commonly prepare or negotiate an Executed Letter of Intent.

  • Corporate development teams: draft terms, manage due diligence schedules, and coordinate signatories.
  • Buyers and sellers: lock price range, exclusivity windows, and closing conditions for deal certainty.
  • Advisors (attorneys, brokers): negotiate clauses, advise on enforceability, and document binding provisions.

Roles coordinate to finalize core terms quickly, document timelines, and ensure authorized signatories are identified before moving to definitive agreements.

Essential Sections to Include in a Professional Executed Letter of Intent

A well-constructed Executed Letter of Intent identifies parties, summarizes transaction economics, lists conditions precedent, allocates binding vs nonbinding terms, and defines timelines and governing law to reduce ambiguity before definitive documents are prepared.

Parties

Identify each party by full legal name and entity type; include authorized signatory details and contact information to avoid identity disputes during closing.

Transaction Terms

Summarize purchase price, payment structure, escrow, and any adjustments; state clearly what assets or liabilities are included or excluded.

Conditions

List conditions precedent such as regulatory approvals, financing, and satisfactory due diligence; specify timing and cure rights where useful.

Confidentiality

State confidentiality obligations, permitted disclosures, duration, and remedies; attach a full NDA if detailed protections or third-party disclosures apply.

Exclusivity

Set any exclusivity or no-shop period, its precise duration, and any break-up fee or penalty for negotiating with third parties during the window.

Governing Law

Specify governing state law and dispute resolution method; consider injunctive relief language for confidentiality or exclusivity breaches where appropriate.

  • Not specifying conditions precedent or precise timelines causes missed deadlines and unmet closing expectations.
  • Using inconsistent party names or omitting authorized signatory details delays closing and complicates enforceability.
