What an Exhibit A Services Agreement Is

An Exhibit A Services Agreement is a contract exhibit appended to a master services agreement that specifies the detailed scope of services, deliverables, pricing, milestones, acceptance criteria, and service levels for a particular engagement. It translates high-level contract terms into actionable tasks, schedules, reporting responsibilities, and owner contacts so both parties have a clear operational blueprint. Exhibit A commonly includes pricing schedules, resource allocations, change order procedures, and termination triggers. Properly drafted, it reduces ambiguity in performance expectations, billing, and dispute resolution without replacing the main agreement’s legal terms.

Why a Clear Exhibit A Matters

Use Exhibit A to convert broad contract obligations into specific deliverables, timelines, and pricing. It clarifies responsibilities, reduces billing disputes, enables consistent acceptance testing, and provides a single reference for project managers and auditors.

Why a Clear Exhibit A Matters

Who Relies on Exhibit A in Practice

Companies and vendors use Exhibit A to operationalize contracts; project managers, procurement teams, and legal reviewers rely on it to confirm scope and billing alignment.

  • Procurement teams managing vendor selections and price schedules for compliance and auditability.
  • Project managers tracking deliverables, milestones, acceptance criteria, and resource allocation.
  • Legal and finance teams enforcing payment terms, change orders, and dispute clauses.

External stakeholders such as clients, subcontractors, and auditors also consult Exhibit A for performance verification and invoicing.

Core Sections to Include in Exhibit A

A professional Exhibit A organizes the operational details that make the master agreement executable, grouping scope, milestones, pricing, acceptance, change control, and performance measures into clear sections.

Scope of Work

Describe tasks, responsibilities, exclusions, and interfaces with other services. Use specific, measurable terms to avoid scope creep and to support project planning, resource assignments, and vendor accountability.

Deliverables & Schedule

List each deliverable, owner, due date, format, and acceptance reviewer. Tie milestones to payment triggers and include contingency windows for review and rework to prevent disputes.

Pricing & Payment

Specify fees, billing frequency, invoicing details, approved expenses, and late-payment remedies. Indicate currency, tax treatment, and any retainers or milestone-based holds to ensure predictable cash flow.

Acceptance Criteria

Define objective tests, inspection procedures, and acceptance timeframes. Include rejection and cure processes, sample sizes where applicable, and metrics that determine whether a deliverable passes or requires remediation.

Change Management

Describe change request procedures, approval authorities, pricing adjustments, and timelines. Require written change orders signed by authorized representatives and state how emergent work is prioritized and billed.

Service Levels & Remedies

Set measurable SLAs, uptime or response targets, reporting cadence, and remedies such as service credits or termination rights tied to repeated SLA failures; include measurement and dispute mechanisms.

Required Information to Populate Exhibit A

Effective Date: MM/DD/YYYY format as effective date
Parties' Legal Names: Full legal entity names, no abbreviations
Scope Reference: Reference main agreement section and exhibits
Pricing Table: Line-item fees, billing frequency, taxes noted
Contact Information: Project manager, billing contact, phone, email
Signatory Authority: Name, title, and signing authority proof

Step-by-Step: How to Complete Exhibit A

Follow these sequential steps to prepare, review, and execute Exhibit A so parties have a clear operational plan before work starts.

  • 01
Gather inputs: Collect scope, pricing, schedules, and contacts from stakeholders.
  • 02
Draft sections: Populate scope, deliverables, milestones, acceptance, and pricing.
  • 03
Legal review: Verify indemnities, liabilities, and governing law with counsel.
  • 04
Execute: Ensure authorized signers sign, date, and retain fully executed copy.

Where to Send or Store the Executed Exhibit A

Routing and submission depend on contract terms; Exhibit A is distributed to internal teams, the counterparty, and retained in contract repositories.

  • Internal repository: Upload to contract management system for version control.
  • Counterparty: Send executed copy to the other party's legal or PM.
  • Finance: Forward pricing and invoicing sections to accounts payable.
  • Audit files: Store PDFs and audit trail for compliance and audits.

Digital Execution and Platform Considerations

Digital execution requires platforms that capture intent, attribution, timestamps, and a reproducible audit trail for enforceability.

  • Document formats: PDF, DOCX, and editable templates supported.
  • Integrations: Connects with CRMs, ERP, and cloud storage.
  • Authentication: Email, SMS, and advanced signer authentication options.

Suggested Online Workflow Settings

Configure online workflows to match signing order, authentication strength, and template reuse to reduce manual steps and improve auditability.

Workflow Setting Configuration
Authentication Method Email link, SMS OTP, or KBA options.
Signing Order Set sequential or parallel signer flows.
Bulk Send Enable for mass recipient delivery.
Template Storage Save Exhibit A as reusable template.

Key Dates to Record in Exhibit A

Key dates in Exhibit A affect performance, billing, and dispute windows; define calendar dates and recurrence rules clearly.

Effective Date and Term:

Enter MM/DD/YYYY and term length in months or years.

Deliverable Due Dates:

Specify individual due dates and milestone dependencies.

Invoice Submission Deadline:

State days after milestone for invoice presentment.

Payment Net Terms:

Net 30/45/60 and late fee calculation rules.

Dispute Notice Window:

Number of days to notify party of nonconformance.

Common Preparation Mistakes to Avoid

  • Vague scope language that omits exclusions or interfaces, leading to scope creep, billing disagreements, and increased change orders over project life.
  • Missing acceptance criteria or subjective standards that make it difficult to objectively determine deliverable compliance and trigger payment disputes.
  • Inconsistent dates and timing (conflicting milestone vs invoice dates) that delay billing and create administrative rework between teams.
  • Unsigned or improperly authorized exhibits attached after execution, which may invalidate obligations or complicate enforcement in disputes.

Risks and Consequences of an Incorrect Exhibit A

Payment Disputes: Invoice rejection and delayed payment
Liquidated Damages: Predefined penalties for missed SLAs
Termination Risk: Immediate cessation of services possible
Tax Withholding: Backup withholding if incorrect TIN
HIPAA Exposure: PHI handling without BAA risk
Regulatory Noncompliance: Industry fines or license impacts

Key Milestones from Draft to Operational Start

Track these sequential milestones to move an Exhibit A from draft through execution to operational handover and performance monitoring.

01

Draft Completion

Draft finalized and circulated to stakeholders for review.

02

Legal Approval

In-house or external counsel signs off on legal terms.

03

Execution

Authorized signatories sign and date the exhibit.

04

Operational Start

Services commence per effective date and onboarding schedules.

Practical Examples from Real Organizations

These examples illustrate how organizations use Exhibit A to reduce ambiguity, speed approvals, and link contract terms to operational systems.

Optica Ventures

Optica standardized its Exhibit A to require specific deliverable formats and reviewers

  • The standardized template reduced review cycles and clarifications
  • The result improved on-time delivery and made billing transparent; attaching the Exhibit A to each master agreement simplified onboarding and reduced disputes between project teams and clients.

Xerox

Xerox embedded integration and SLA requirements into Exhibit A to align NetSuite workflows

  • Integration enabled automated billing and signature routing
  • This reduced manual data entry by linking contract fields to ERP, ensured invoices matched contract terms, and accelerated revenue recognition while preserving an audit trail.

Best Practices to Reduce Risk and Speed Execution

Adopt these best practices to minimize disputes and streamline execution of Exhibit A across internal and external teams.

Use measurable acceptance criteria
Write acceptance criteria as pass/fail tests or numeric thresholds; specify inspection methods, sample sizes, and allowed cure periods to prevent subjective rejections and expedite invoicing.
Attach detailed pricing and expense schedules
Include expense types, approval limits, reimbursable rates, and third-party costs; define tax responsibility and prior authorization process to avoid post-delivery disputes and retroactive billing adjustments.
Require written change orders and approval
Specify who may request changes, required documentation, approval timelines, and pricing adjustments; make emergency work procedures and provisional billing explicit to reduce ambiguity.
Maintain version control and audit trail
Store Exhibit A versions in a controlled repository, record edits with timestamps, and require signatures on each version to ensure auditors can reconstruct contract history.

Who Typically Signs or Approves Exhibit A

VP Contracts

Typically an executive-level contracts manager authorized to negotiate scope changes, sign amendments, and certify performance acceptance on behalf of the vendor or client.

CFO

Often authorized to approve pricing, payment terms, and any amendments affecting financial obligations; signature confirms corporate commitment and triggers accounting actions including billing and recognition.

How Exhibit A Differs From Similar Contract Documents
