RECITALS (WHEREAS)

TERM AND TERMINATION

Either party may terminate this Exhibit for convenience upon delivering written notice to the other party not less than Notice Period: days prior to the intended termination date. CONFIDENTIALITY

Each party (the "Recipient") shall maintain in confidence all Confidential Information disclosed by the other party (the "Discloser") and shall not use such Confidential Information except for the performance of its obligations under this Exhibit. Confidential Information includes non-public business information, technical data, trade secrets, and other information identified as confidential or that reasonably should be understood to be confidential under the circumstances.

ENTIRE AGREEMENT AND MISCELLANEOUS

This Exhibit, together with the Master Services Agreement to which it is attached and any documents expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements. No amendment, modification or waiver of any provision of this Exhibit shall be effective unless in writing and signed by authorized representatives of both parties.
