This Exhibit Updating Agreement (the "Exhibit Update") is made effective as of by and between ("First Party") and ("Second Party").

WHEREAS, the parties agree that this Exhibit Update will amend the Master Agreement only to the extent expressly provided in this Exhibit Update and otherwise the Master Agreement remains in full force and effect.

Payment Terms

Term and Termination

The effective date of this Exhibit Update is and, unless earlier terminated in accordance with the Master Agreement, this Exhibit Update will remain in effect until .

Termination of the Master Agreement shall be deemed to terminate this Exhibit Update as provided in the Master Agreement, except that obligations that by their nature survive termination shall survive.

Confidentiality

All such information shall be maintained and used in accordance with the confidentiality and non-disclosure provisions of the Master Agreement. Except as expressly modified by this Exhibit Update, all other terms and conditions of the Master Agreement remain unchanged and in full force and effect.
