What an Exhibitor Agreement Covers

An Exhibitor Agreement is a contract between an event organizer and a company or individual reserving exhibit space at a trade show, conference, or fair. It sets the parties, booth location and size, payment and refund terms, move-in and move-out schedules, booth services (power, internet, drayage), insurance and indemnity obligations, cancellation policies, and any exhibitor rules or code of conduct. The agreement governs operational responsibilities during the event and the consequences of breaches, and it serves as the primary written record for dispute resolution and enforcement.

Why the Exhibitor Agreement Matters

A clear Exhibitor Agreement reduces operational risk, documents financial obligations, protects venue and organizer interests, and sets expectations for exhibitors. It also provides enforceable terms for cancellations, liability limits, insurance requirements, and compliance with event rules.

Why the Exhibitor Agreement Matters

Who Typically Prepares and Signs This Agreement

The document is used by organizers, exhibitors, and venue managers to allocate space, set rules, and confirm payment and responsibilities.

  • Event organizers and show managers who allocate space, set exhibitor rules, and collect fees for the event.
  • Commercial exhibitors, vendors, or sponsors reserving booth space, equipment, or promotional placements at the event.
  • Venue representatives responsible for site rules, utilities, access, and on-site services during move-in and move-out.

Each party should review delegated responsibilities, required attachments, and signature authority before execution.

Common Signatory Roles

Organizer Director

Typically a contracts or operations lead for the event organizer. Responsible for executing agreements, collecting deposits, enforcing venue rules, and coordinating exhibitor services; often signs on behalf of the organizer under delegated authority.

Exhibitor Manager

Usually the company representative booking space (owner, director, or authorized agent). Responsible for payment, complying with booth rules, arranging insurance, and ensuring staffing and displays meet safety requirements.

Essential Sections to Include in a Professional Exhibitor Agreement

A complete Exhibitor Agreement is modular and precise: it identifies parties, describes space and services, spells out fees, sets timelines, allocates risk, and defines compliance requirements.

Parties

Full legal names and contact details for organizer and exhibitor; include mailing address and billing contact to avoid identity mismatches.

Exhibit Details

Exact booth location, dimensions, adjacent space notes, and permitted build or display restrictions; attach floor plan as an exhibit when possible.

Fees & Payment

Itemize deposits, final payment dates, accepted payment methods, late fees, and any refundable/unrefundable charge language for cancellations.

Cancel/Refund Policy

Specify deadlines for full/partial refunds, force majeure carve-outs, and procedures for substitution of exhibitors or booth transfers.

Liability & Insurance

Minimum insurance limits, additional insured endorsements, indemnity allocation, and responsibility for property damage and bodily injury.

Rules & Compliance

Venue rules, health and safety requirements, exhibitor code of conduct, booth operation hours, and vendor permit obligations.

Common Preparation Mistakes to Avoid

  • Using abbreviated legal names or trade names that do not match tax documents, which can delay invoicing or create indemnity gaps.
  • Failing to attach required exhibits (floor plans, COI, permits), leading to denied move-in or booth removal at show time.
  • Leaving payment terms vague or omitting late fee and cancellation deadlines, which complicates collections and refunds.
  • Not confirming signer authority or failing to obtain required endorsements, which can render the agreement voidable.

Consequences of an Incomplete or Incorrect Agreement

Space Forfeiture: Organizer may cancel space for nonpayment
Financial Loss: Deposit forfeiture or additional fees
Insurance Gaps: Uninsured loss for property or injury
Regulatory Fines: Permitting violations can incur fines
Contract Disputes: Litigation or arbitration costs
Tax Reporting: Incorrect vendor info may trigger backup withholding
