Term and Termination

Confidentiality

Each party shall keep confidential all non‑public business information disclosed by the other party in connection with this Agreement that is designated as confidential or that a reasonable person would understand to be confidential, except information that (a) is or becomes generally available to the public through no fault of the receiving party, (b) was lawfully in the receiving party’s possession prior to disclosure, or (c) is required to be disclosed by law or court order (in which case the receiving party shall provide prompt notice to the disclosing party).

Insurance, Indemnity and Liability

Exhibitor shall maintain commercial general liability insurance covering its participation in the event with minimum limits of $1,000,000 per occurrence. Exhibitor agrees to indemnify, defend and hold Organizer harmless from and against any claims, damages or expenses (including reasonable attorneys’ fees) arising from Exhibitor’s negligence, willful misconduct, or breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its choice of law principles.

Entire Agreement
