EXHIBITOR SERVICES AGREEMENT

Parties

Recitals

WHEREAS, Organizer operates and manages the Event known as scheduled to occur on at the venue identified by Organizer; and

WHEREAS, Exhibitor desires to engage Organizer to provide certain exhibitor services described in this Agreement and Organizer agrees to provide such services subject to the terms and conditions set forth herein.

Scope of Work

Organizer will provide exhibitor services for Exhibitor at the Event. Services to be provided and deliverables shall be described below and, where applicable, invoiced separately.

Organizer shall, as part of the Services, provide the following items where selected by Exhibitor and confirmed by Organizer:






Payment Terms

Exhibitor shall pay Organizer the fees specified below in consideration of the Services. All amounts are due in U.S. dollars unless otherwise agreed in writing.

Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law. Exhibitor shall be responsible for all collection costs, including reasonable attorneys' fees, incurred by Organizer in enforcing payment obligations.

Term and Termination

Term begins on and ends on unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for convenience upon written notice to the other party no fewer than days prior to the effective date of termination. Organizer may terminate immediately for cause upon Exhibitor's material breach, including failure to pay fees when due, refusal to comply with venue rules, or conduct endangering persons or property.

Upon termination, Exhibitor remains liable for all fees and expenses incurred through the effective date of termination and any non-cancellable costs incurred by Organizer on Exhibitor's behalf.

Confidentiality

Each party agrees that it shall not disclose the other party's Confidential Information to any third party or use such Confidential Information except to perform its obligations under this Agreement. "Confidential Information" means non-public business, technical, or financial information disclosed in connection with this Agreement. Confidentiality obligations shall survive termination for a period of three (3) years.

Insurance and Indemnification

Exhibitor shall maintain commercial general liability insurance with limits no less than per occurrence and shall provide Organizer with proof of insurance upon request. Exhibitor shall indemnify and hold harmless Organizer, its officers, agents, and employees from and against all losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of Exhibitor's acts or omissions in connection with the Services, except to the extent caused by Organizer's gross negligence or willful misconduct.

Compliance; Venue Rules

Exhibitor shall comply with all applicable laws, venue rules and regulations, and Organizer policies. Organizer may provide venue-specific rules which become part of this Agreement upon delivery to Exhibitor. Exhibitor will ensure that its personnel and contractors comply with such rules.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered in the agreed jurisdiction if the parties mutually elect arbitration; otherwise, the exclusive venue for any litigation shall be the state or federal courts located in the governing jurisdiction.

Entire Agreement; Amendment

This Agreement, together with any exhibits and attachments executed by the parties, constitutes the entire agreement between Organizer and Exhibitor regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings. No amendment or modification shall be effective unless in writing and signed by an authorized representative of each party.

Notices

All notices required or permitted under this Agreement must be in writing and delivered to the addresses set forth above or to such other address as a party designates in writing. Notices are effective upon receipt.

By signing below, each party acknowledges that it has read and understood this Agreement, that it has authority to enter into this Agreement, and that it agrees to be bound by its terms.
