What the Expense Reimbursement Agreement Covers

An Expense Reimbursement Agreement documents the terms under which one party will reimburse another for business-related expenses. It identifies parties, eligible expense categories, required substantiation (receipts, dates, purpose), approval workflow, timing for payment, and any limits or per diem rules. The agreement can specify taxable treatment, whether advances are allowed, and remedies for noncompliance. When executed correctly it reduces disputes and provides an audit trail; electronic execution is commonly used and can satisfy federal e-signature laws when the parties consent.

Why a Clear Agreement Matters

A written agreement clarifies eligibility, reduces reimbursement disputes, supports consistent tax treatment, and preserves documentation for audits. It creates an approval path and timeline, improving control over company spending while enabling secure electronic signatures and a verifiable audit trail.

Why a Clear Agreement Matters

Who Typically Completes an Expense Reimbursement Agreement

The agreement is commonly used by employers, contractors, and project teams to define reimbursement rules and proof requirements.

  • Human resources and finance teams who set policy, approve claims, and maintain records for payroll and tax reporting.
  • Employees and contractors who incur travel, client entertainment, mileage, or project-related expenses and need reimbursement.
  • Project managers and approvers who validate business purpose, budget codes, and compliance with per diem or spending caps.

Clear role delineation speeds approvals and helps finance teams reconcile payments against budgets and tax rules.

Step-by-Step: Complete and Submit a Reimbursement Request

Follow these steps to prepare a complete claim, avoid delays, and preserve an audit trail.

  • 01
Collect Receipts: Save all itemized receipts and proof of payment.
  • 02
Fill the Form: Complete each required field accurately.
  • 03
Send for Approval: Route to the designated approver or cost center owner.
  • 04
Receive Payment: Finance processes reimbursement per payroll or accounts-payable schedule.

Core Elements to Include in a Professional Agreement

A complete agreement balances operational detail with concise legal terms so obligations and proof requirements are unambiguous.

Parties

Identify the payer and payee by full legal name and contact details; include employer tax identification if relevant for reporting or withholding.

Eligible Expenses

List allowable categories, limits, per diems, mileage rates, and excluded items so claimants and approvers apply consistent standards.

Supporting Documentation

Specify required receipts, itemization, and any attestations of business purpose to meet IRS substantiation standards and internal audit needs.

Approval Workflow

Describe routing, approver authority, escalation steps, and timing for decisions to avoid payment bottlenecks and ensure budget control.

Timing and Payment

Set windows for submission, windows for finance processing, and whether payments post via payroll or accounts payable, including any advance recovery terms.

Tax and Repayment

State whether reimbursements are under an accountable plan; describe repayment obligations for excess advances and consequences of noncompliance.

Configuring an Efficient Digital Approval Workflow

Map technical settings to your policy to automate routing, authentication, and record storage for every reimbursement claim.

Field Configuration
Authentication Email link or SMS code; add multi-factor for high-value claims.
Routing Conditional routing by cost center or expense type.
Reminders Automatic reminders after defined approval thresholds.
Storage Archive signed records in secure document store for retention.

How Electronic Submission and Approval Typically Flow

Electronic workflows reduce manual handoffs and capture a detailed audit trail for each action taken on a claim.

  • Prepare Document: Claimant uploads receipts and completes form fields.
  • Assign Fields: Sender places signature, date, and approval fields for approvers.
  • Deliver to Approver: System emails approver or provides a secure signing link.
  • Complete Audit: Signed copy and event log are stored for compliance.

Technical Requirements for Digital Handling

Ensure file formats, authentication, and integrations match your security and accounting needs before launching an electronic workflow.

  • File Formats: PDF, DOCX, JPG supported
  • Integrations: Connectors for ERP and cloud storage
  • Authentication: Email, SMS, or MFA available

Common Timelines and Processing Expectations

Timelines are typically set by employer policy; defaults and IRS substantiation expectations influence internal deadlines.

Employee Submission Window:

Many policies require submission within 30–90 days of expense date.

Approver Response Time:

Approvers commonly have 5–10 business days to act once routed.

Finance Processing:

Accounts-payable cycles often process reimbursements in the next payment run.

Advance Reconciliation:

Claimants must reconcile advances within the timeframe stated in the policy.

Audit Retention:

Maintain records long enough to meet tax and industry retention rules.

Common Preparation Errors to Avoid

  • Submitting incomplete receipts or photos that omit merchant name, date, or amount causes delays and requests for clarification.
  • Using incorrect expense categories or cost centers makes reconciliation slow and can misstate departmental budgets.
  • Failing to attach required approvals or client authorizations risks denied reimbursement and internal disputes.
  • Missing submission deadlines or failing to return advances can convert reimbursements into taxable wages or require payroll adjustments.

Key Risks and Potential Consequences

Taxable Income: May convert reimbursements to taxable wages
Backup Withholding: Missing TINs can trigger 24% withholding
Payroll Taxes: Employer may owe FICA or FUTA on improper reimbursements
Delayed Payment: Operational disruption and employee dissatisfaction
Fraud Risk: Insufficient controls increase misstatement risk
Recordkeeping: Failure to retain records risks audit penalties
