Termination for Cause: Either party may terminate any subsequent agreement for material breach if the breaching party fails to remedy the breach within the notice period specified above, subject to any express remedial periods contained in a final agreement.

Confidentiality

Each party acknowledges that information exchanged in connection with this Expression of Interest that is marked confidential or would reasonably be considered confidential shall be held in confidence and used solely for the purpose of evaluating the potential engagement. The confidentiality obligation includes but is not limited to technical information, business plans, pricing, and proprietary methodologies.

The confidentiality obligations survive termination of this Expression of Interest and continue for a period of three (3) years from the date of disclosure, except where a longer period is required by law.

Binding Effect and Costs

Except for the confidentiality obligations and any express cost reimbursement obligations specifically agreed in writing, this Expression of Interest is non-binding and does not create any obligation on the Client to enter into a contract with the Respondent. Any commitment to proceed will be subject to execution of a definitive written agreement.

This Expression of Interest shall be governed by and construed in accordance with the laws of the jurisdiction chosen by the Client. Disputes arising from this document that are not resolved by negotiation shall be resolved in the courts of the chosen jurisdiction.

Entire Agreement

This Expression of Interest, together with any attachments or schedules executed contemporaneously, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions, negotiations and understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
