The Listing Agent/Contractor is retained to market and list exterior improvement opportunities for the Property, solicit competitive bids from qualified exterior trades, coordinate site access for prospective bidders and inspections, and assist Owner in selecting a contractor. The Listing Agent/Contractor will not perform construction work under this Agreement unless a separate construction contract is executed. The specific services to be provided are described below:

Term; Exclusivity

Listing Term commences on and continues through , unless earlier terminated in accordance with this Agreement. The Owner grants the Listing Agent/Contractor the exclusive right to market exterior work for the Property during the Term: .

Fees; Payments; Retainer

Owner agrees to pay the Listing Agent/Contractor the following compensation for services rendered under this Agreement. Amounts payable to the Listing Agent/Contractor are earned as described below and are nonrefundable except as provided herein.

Fee becomes due and payable upon: Execution of a construction contract awarding the exterior job to a bidder procured by Listing Agent/Contractor; and/or Final completion of awarded work and Owner acceptance. Parties may select one or both payment triggers.

Owner Representations; Disclosures

Owner represents that to the Owner's actual knowledge the following statements are true as of the Agreement Date. Owner shall promptly notify Listing Agent/Contractor in writing of any changes.

Insurance; Indemnity; Liens

Listing Agent/Contractor shall maintain at all times during the Term and while performing any services under this Agreement commercial general liability insurance and workers' compensation coverages consistent with industry standards and statutory requirements. Owner may require evidence of insurance prior to site access.

Listing Agent/Contractor and Owner shall each indemnify, defend and hold harmless the other from claims arising out of the indemnifying party's negligence or willful misconduct in performance of this Agreement. Listing Agent/Contractor shall not be responsible for liens or claims resulting from construction work performed by third-party contractors retained by Owner unless Listing Agent/Contractor expressly contracted to perform the construction work.

Access; Authorization; Contractor Selection

Owner authorizes Listing Agent/Contractor to provide reasonable access to the Property to prospective bidders and inspectors during normal business hours and as mutually arranged. Owner retains final authority to accept or reject bids and to enter into any construction contract. Listing Agent/Contractor may provide recommendations; such recommendations are advisory only.

Default; Remedies; Termination

A material breach by either party that is not cured within fifteen (15) days after written notice shall permit the non-breaching party to terminate this Agreement and pursue any remedies available at law or in equity. Upon termination, Listing Agent/Contractor shall be entitled to fees earned for services performed prior to termination and to reimbursement of documented expenses reasonably incurred.

Dispute Resolution; Governing Law

The parties agree to attempt good faith negotiation to resolve disputes arising under this Agreement. If unresolved within forty-five (45) days, disputes shall be resolved by binding arbitration conducted in accordance with the rules selected by the parties. This Agreement is governed by the substantive laws of the state identified below.

Miscellaneous

Entire Agreement: This Agreement, together with any written attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior oral or written agreements. Amendments must be in writing and signed by both parties.

Notices required under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section. Receipt shall be deemed effective upon personal delivery, electronic confirmation of transmission, or three (3) days after deposit in the United States mail, postage prepaid.
