What a Facility Buy Off Agreement Is and When It Applies

A Facility Buy Off Agreement documents formal acceptance of a completed facility, system, or project phase by the owner or authorized representative. It records that specified work meets negotiated requirements, lists outstanding punchlist items, transfers responsibility for operations or maintenance, and often triggers final payment, warranties, or occupancy rights. The agreement can be executed on paper or electronically; when signed online in the United States it is generally governed by ESIGN and UETA principles for enforceability.

Why the Facility Buy Off Agreement Matters

A clear buy off agreement reduces ambiguity about acceptance, assigns remaining obligations, and documents risk transfer. It provides a written basis for final payment, warranty start dates, and dispute resolution while preserving audit evidence for compliance and recordkeeping.

Scope

Describe the facilities, systems, and contract line items included in the buy off, referencing project numbers, drawings, or change orders to avoid scope disputes.

Acceptance Criteria

Punchlist and Remedies

Document outstanding items with completion deadlines, corrective action owners, and retention or holdback amounts tied to unresolved punchlist items.

Warranties and Effective Dates

Specify warranty start dates, duration, and conditions that affect coverage, and define the effective date of transfer or acceptance.
