What a Facility Usage Agreement Covers

A Facility Usage Agreement is a written contract that defines temporary access to a physical space, including permitted activities, dates and times, fees, insurance and operational rules. It documents responsibilities for setup, utilities, security, cleanup, and damage or loss. The agreement allocates liability, describes payment and cancellation terms, and may require proof of insurance, certificates of insurance (COI), or additional permits. Properly executed agreements reduce disputes and clarify expectations between the facility owner or manager and the party using the space.

Why a Clear Facility Usage Agreement Matters

A clear Facility Usage Agreement reduces legal and operational risk by allocating responsibility for property, safety, and costs. It documents consent, limits, and remedies in writing so both parties have enforceable expectations under ESIGN and applicable state contract law.

Why a Clear Facility Usage Agreement Matters

Who Typically Completes a Facility Usage Agreement

Multiple stakeholders use these agreements to authorize temporary occupancy and manage facility risk.

  • Event organizers and promoters arranging one-time or recurring rentals of halls, auditoriums, gyms, or conference rooms.
  • Educational institutions and parent groups booking classrooms, auditoriums, or athletic facilities for programs or events.
  • Government agencies, nonprofits, and contractors reserving municipal buildings or public venues for official or community activities.

Tailor the agreement to each stakeholder’s role and authority to ensure enforceability and operational clarity.

Core Sections to Include in a Professional Agreement

A comprehensive Facility Usage Agreement groups terms so operational, financial, and legal obligations are explicit and easy to enforce.

Parties

Identify the facility owner/manager and the user by full legal name and entity type, including primary contact information and billing address for notices and invoicing.

Term & Access

Specify effective date, event dates and times (including setup and cleanup windows), access procedures, keys or badge protocols, and any blackout dates or permitted extensions.

Fees & Payment

Detail rent, deposits, security/cleaning fees, payment schedule, accepted payment methods, late fee terms, and refund or forfeiture policies for cancellations.

Insurance & Indemnity

Require minimum insurance limits, naming clauses for additional insured status, and indemnity language allocating losses, including responsibilities for third-party claims.

Use Restrictions

List permitted activities, prohibited conduct, capacity limits, alcohol or amplified sound rules, vendor rules, and compliance requirements with law and fire code.

Breach & Remedies

Define breach events, termination rights, cure periods, holdover consequences, damage remediation, dispute resolution method, and governing law choice.
