User shall use the Facility solely for the purpose described below and shall not use the Facility for any illegal purpose or in a manner that violates any applicable law, code, or regulation. User shall comply with any written Facility rules provided by Owner.

PAYMENT TERMS

User agrees to pay Owner the fees set forth below in consideration for the rights granted by this Agreement. All fees are non-refundable except as expressly provided in writing.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within Notice Period: days after receipt of written notice. Owner may terminate immediately for threats to safety or property.

CONFIDENTIALITY

Each party shall maintain in confidence any non-public information designated as confidential by the disclosing party and obtained in connection with this Agreement. Confidential information does not include information that is or becomes public through no fault of the receiving party, is independently developed, or is required to be disclosed by law; provided, however, that the receiving party shall provide prompt notice of any compelled disclosure and cooperate in any available protective measures.

INSURANCE, INDEMNITY AND LIABILITY

User shall maintain commercial general liability insurance with limits no less than the amounts specified below and shall provide proof of insurance upon request. User shall indemnify, defend, and hold Owner harmless from and against all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from User's use of the Facility or any act or omission of User, its agents, contractors, invitees, or attendees.

User is responsible for leaving the Facility in the same condition as received. Owner may retain all or part of any security deposit to repair damage or to offset unpaid charges. User shall comply with the Facility rules and all applicable laws.

COMPLIANCE WITH LAWS

User shall obtain, at its expense, all permits, licenses, and approvals required for its activities at the Facility and shall comply with all federal, state, and local laws, ordinances, and codes applicable to User's use.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or written rules incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions, proposals, and agreements. This Agreement may be amended only by a written instrument signed by both parties.

MISCELLANEOUS

No waiver by either party of any breach shall be deemed a waiver of any subsequent breach. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign its rights under this Agreement without the prior written consent of the other party, except that Owner may assign to an affiliate or successor.
