What a Facility Use Contract Covers

Facility Use Contract is a written agreement that governs the temporary use of a physical space or facility by an external party. It specifies dates, times, permitted activities, responsibilities for setup and cleanup, insurance and indemnification terms, payment or fees, and any special restrictions such as capacity limits or prohibited uses. The contract clarifies who may access the premises, who is responsible for damages and security, and the process for cancellation or rescheduling. For institutions it establishes operational expectations, risk allocation, and administrative contact points.

Why a Formal Contract Matters

Use a Facility Use Contract to define obligations, reduce liability, and set clear expectations between facility owners and users. It documents fees, insurance, and damage responsibility while enabling consistent operational procedures and dispute resolution terms to avoid misunderstandings.

Why a Formal Contract Matters

Who Typically Completes This Agreement

Organizations and external groups commonly use Facility Use Contracts to authorize events, classes, or temporary occupation of space.

  • Nonprofits and community groups renting meeting rooms, auditoriums, or activity spaces.
  • Schools and universities scheduling sports facilities, classrooms, or campus venues for external events.
  • Commercial vendors, caterers, and contractors performing short-term work or hosting ticketed events.

Facility owners, property managers, and municipal departments also complete these contracts to protect assets and control access.

Core Clauses to Include

Core clauses and optional addenda commonly included in a professional Facility Use Contract ensure operational clarity, risk allocation, and legal enforceability for temporary facility arrangements.

Parties and Term

Identify the facility owner and the user, state the effective and end dates, and include renewal or extension provisions. Clear party names prevent ambiguity in enforcement and notices.

Permitted Use

Describe permitted activities in detail, including hours, audience limits, equipment needs, and any amplified sound or alcohol service. Vague descriptions increase enforcement risk and insurance disputes.

Fees and Payment

Set fees, deposit amounts, payment schedule, accepted methods, and refund conditions. Include late fee terms and the consequences of nonpayment to protect the owner's financial interests.

Insurance and Indemnity

Require specific insurance types and minimum limits, name the owner as additional insured when necessary, and include indemnification language allocating liability for damage, injury, and third-party claims.

Termination and Cancellation

Outline cancellation rights, notice periods, forfeiture of deposits, and cure opportunities for breaches. Clarify refund schedules and obligations for remediation or repair after early termination.

Logistics and Security

Allocate responsibilities for setup, staffing, access control, key issuance, parking, ADA accommodations, cleaning, waste removal, and post-event inspections to reduce operational disputes and specify contact persons for incident response.

Stepwise Process to Complete and Execute

Follow these sequential steps to complete, execute, and distribute a Facility Use Contract accurately and efficiently.

  • 01
Prepare Details: List dates, times, capacity, and intended activities.
  • 02
Identify Parties: Enter full legal names and contact information for all parties.
  • 03
Assign Responsibilities: Specify setup, cleanup, security, insurance, and payment duties.
  • 04
Sign and Store: Obtain signatures, retain originals, and share copies with stakeholders.

  • Authentication: Email, SMS code, SSO options available.

Use Description: Detailed list of permitted activities.
Fees and Deposits: Amount, due date, refund conditions.
Insurance Proof: Certificate listing limits and additional insured.
Signatures: Authorized signer name, title, date.

Common Preparation Pitfalls

  • Vague or open-ended use descriptions that fail to specify hours, attendance limits, or prohibited activities, leading to disputes over scope and unexpected operational costs.
  • Incomplete insurance requirements or missing certificates of insurance increase liability and can void the contract or delay event approvals pending proof of coverage.
  • Incorrect or mismatched signer names and titles cause enforceability issues and may trigger requests for corrected documents or re-execution of the agreement.
  • Failure to document cancellation terms, refund schedules, or force majeure events leads to costly disputes and unpredictable liability after event disruption.

Consequences of an Incorrect or Missing Contract

Damage Liability: User responsible for repair costs.
Cancellation Penalty: Deposit forfeiture or prorated fees.
Insurance Gap: Insufficient coverage shifts risk to owner.
Regulatory Fines: Violations may trigger local fines.
Tax Reporting: Incorrect details can prompt backup withholding.
Contract Termination: Breach allows immediate termination rights.

Key Dates and Deadlines to Record
