What a Factoring LOA Agreement Is and When It Applies

A Factoring Letter of Authorization (LOA) Agreement is a written instruction from a seller (client) authorizing a factor (financial purchaser) to collect payments on specified invoices and to apply receipts against assigned receivables. The LOA clarifies which invoices are assigned, identifies the parties, specifies the account into which funds must be paid, and documents any collection or reporting responsibilities. It often accompanies a master factoring agreement or purchase confirmation and serves as the operational authorization used by banks, debtors, and clearing agents to route payments to the factor.

Why a Clear LOA Matters for Receivables Financing

A precise Factoring LOA reduces payment misrouting, speeds collections, and creates a clear chain of title for assigned invoices. It provides evidence of the factor's rights when notifying debtors and responding to bank payment questions.

Why a Clear LOA Matters for Receivables Financing

Typical Parties Who Use or Sign a Factoring LOA

The Factoring LOA is used by businesses that sell invoices and by factors that purchase receivables; banks and debtors are secondary recipients of notices.

  • Small and mid-size businesses using non-recourse or recourse factoring to accelerate cash flow, often in transportation, staffing, and manufacturing.
  • Commercial factors and finance companies who require a written assignment to collect and apply payments from account debtors.
  • Banks or payment processors that need an LOA on file to redirect ACH or check payments into the factor's account.

Ensure each signer is authorized to delegate collections rights; inaccurate parties or missing bank details commonly delay funding and reconciliation.

Core Elements to Include in a Professional Factoring LOA

A professional LOA should be concise and unambiguous, covering assignment scope, payment instructions, authorization language, contact details, and any limitations or expiration.

Parties

Full legal names and entity types for seller (assignor) and factor (assignee); include DBAs where applicable and EINs where required for tax reporting.

Assigned Receivables

Clear description of included invoices (by date, invoice numbers, customer list, or 'all present and future receivables') and whether assignment is partial or full.

Payment Instructions

Bank account, routing, ACH details, or lockbox information where collections should be deposited; include remittance address and payable-to name.

Authorization Clause

Explicit language permitting the factor to collect, endorse, deposit, and apply payments and to notify account debtors of the assignment.

Effective Term

Effective date, expiration or termination triggers, and any notice period for cancellation to ensure predictable cutoffs for receivable assignment.

Signatures

Signature blocks for authorized representatives, printed names, titles, and dates; include notarization or witness lines if required by the factor.

Required Information and Data Points

Seller Name: Exact legal entity
Factor Name: Full legal name
Invoice Details: Invoice numbers/dates
Bank Details: ACH/routing info
Effective Date: MM/DD/YYYY format
Authorized Signer: Name and title

Step-by-Step: Completing and Issuing a Factoring LOA

Follow these steps to prepare an LOA that the factor and account debtors can rely on without rework.

  • 01
Prepare Document: Draft LOA with clear invoice scope and payment instructions.
  • 02
Verify Parties: Confirm legal names, EINs, and authorized signers before signing.
  • 03
Sign and Notarize: Obtain required signatures; complete notarization or witness as needed.
  • 04
Distribute Notices: Send copies to factor, debtor, and bank; retain originals for records.

Configuring an Online LOA Workflow

Set up digital templates, signer roles, and authentication to automate LOA issuance and collection while preserving legal validity.

Field Configuration
Template Create reusable LOA template with locked legal text and editable fields
Authentication Use email + SMS code or stronger KBA for signer verification
Notifications Enable automated reminders and delivery receipts for all parties
Audit Trail Capture timestamps, IPs, and actions for legal evidence

Where to Send or File the Completed LOA

An LOA is typically distributed to the factor, the account debtor(s), and the collecting bank or lockbox operator to effect payment redirection.

  • To the Factor: Send original signed LOA and any attachments for onboarding and account setup.
  • To Account Debtors: Provide a notice of assignment so payors know where to remit.
  • To Bank / Lockbox: Deliver LOA so the bank can accept redirected ACH or check deposits.
  • Internal Records: Retain signed originals for reconciliation and audit.

Digital Signing and eSubmission Considerations

Use an eSignature platform that preserves an audit trail, supports appropriate signer authentication, and can produce a tamper-evident PDF for records.

  • Authentication: Email + SMS or KBA
  • Format Support: PDF and DOCX
  • Integrations: Banking and ERP systems

Choose a solution that offers secure storage, AES-256 encryption at rest, TLS 1.2/1.3 in transit, and the ability to export signed records for legal or audit purposes.

Typical Timelines and Processing Expectations

Factoring LOA processing times vary by factor and receiving bank; include realistic lead times when planning cash flow and collections.

Funding Turnaround:

1–5 business days after LOA and invoices are verified

Bank ACH Setup:

3–7 business days to authorize ACH routing changes

Notice Period:

Immediate notification recommended; allow 7–14 days for debtor processing

Cancellation Notice:

Commonly 30 days' written notice to terminate assignment

Record Retention Start:

Retention clock begins on LOA effective date

Key Milestones from Execution to Funding

Follow these milestones to move from signed LOA to active factoring without avoidable delays.

01

Execution

Authorized signers execute the LOA and date it.

02

Bank Setup

Factor and seller confirm ACH/lockbox instructions with receiving bank.

03

Debtor Notification

Provide notice of assignment to account debtors.

04

First Funding

Factor completes verification and advances funds on eligible invoices.

Common Mistakes That Delay Factoring LOA Acceptance

  • Using trade names or abbreviations instead of the seller's legal entity name, causing bank or factor to reject the LOA.
  • Providing incomplete or incorrect bank routing or account numbers, which prevents ACH routing and causes funding delays.
  • Ambiguous assignment language that fails to specify invoice scope, leading to disputes over which receivables are assigned.
  • Failing to have an authorized signer or required notarization/witness steps, resulting in the factor refusing acceptance.

Risks and Potential Consequences of an Incorrect LOA

Payment Misrouting: Delayed funding
Disputed Assignment: Collections contested
Tax Withholding: Backup withholding
Legal Liability: Breach claims
Bank Rejection: ACH refused
Funding Loss: Advances withheld
