WHEREAS, Party B desires to engage Party A to perform the services described in this agreement and to compensate Party A in accordance with the Payment Terms below; and

WHEREAS, the Parties intend this document to set forth the complete understanding between them regarding the subject matter and to govern their respective rights and obligations.

Scope of Work

Party A shall perform the following services for Party B. The description below identifies the duties, responsibilities, and any deliverables that Party A is to provide. Party A shall perform services in a professional manner consistent with applicable standards for similar family caregiving, property stewardship, or other family-related services specified herein.

Payment Terms

Compensation: Party B shall pay Party A the total amount of in consideration for the Scope of Work. This amount constitutes full and complete compensation unless otherwise agreed in writing.

Late Payment: If any amount due under this Agreement is not paid within days after the due date, Party B shall pay interest on the overdue amount at the rate of per month, or the maximum rate permitted by law, whichever is lower. The late fee shall accrue from the date payment was due until paid in full.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated as provided below.

Termination for Convenience: Either Party may terminate this Agreement without cause upon written notice to the other Party delivered no less than days prior to the intended termination date.

Termination for Cause: Either Party may terminate immediately upon written notice if the other Party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Confidentiality

Definition: "Confidential Information" means all non-public information disclosed by either Party to the other, whether oral, written, electronic, or observed, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Each Party shall (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted in this Agreement; and (c) use Confidential Information solely for performance of obligations under this Agreement. Each Party shall take reasonable measures to protect Confidential Information from unauthorized disclosure, at least as protective as those it uses to protect its own confidential materials.

Permitted Disclosures: A receiving Party may disclose Confidential Information to its employees, advisors, or professional service providers who have a need to know and who are bound by confidentiality obligations no less restrictive than those set forth herein. Disclosure required by law or valid legal process is permitted, provided the receiving Party gives prompt written notice to the disclosing Party to allow for a protective order or other remedy.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by hand, certified mail, or other commercially reasonable means.

Representations, Warranties and Covenants

Each Party represents and warrants that it has the full power and authority to enter into this Agreement, that execution and performance will not violate any other agreement, and that the person signing this Agreement on its behalf is authorized to do so. Each Party covenants to perform its obligations in good faith and in accordance with applicable law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. The Parties submit to the exclusive jurisdiction of the courts located within that State for resolution of disputes arising under this Agreement.

Miscellaneous

Entire Agreement: This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, negotiations, and understandings, whether written or oral. Any amendment or modification of this Agreement must be in writing and signed by both Parties.

Assignment: Neither Party may assign or delegate its rights or obligations under this Agreement without the prior written consent of the other Party; provided, however, that a Party may assign this Agreement to an affiliate or in connection with a merger or sale of substantially all of its assets upon providing notice to the other Party.

Remedies: The Parties acknowledge that a breach of the confidentiality obligations or other material terms of this Agreement may cause irreparable harm for which monetary damages would be an inadequate remedy. Accordingly, each Party shall be entitled to seek injunctive relief and other equitable remedies in addition to any available legal remedies.
