Scope of Work

Planner will provide the services described below. This Scope of Work describes deliverables, milestones, and responsibilities of each party. Any change to scope must be documented in writing and signed by both parties.

Client agrees to pay all reasonable third-party vendor invoices related to the Event. Planner may require vendor deposits and will notify Client in writing of amounts due. Planner is authorized to contract with vendors on behalf of Client only as expressly authorized in writing.

Term and Termination

This Agreement commences on the Effective Date and continues until the completion of services described in the Scope of Work or the Event end date, unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach after providing the other party written notice and a reasonable cure period as set out above. Termination by Client without cause may result in forfeiture of deposit and payment obligations as set forth in the Payment Schedule.

Confidentiality

Each party will treat as confidential all non-public information disclosed by the other party in connection with the Event, including guest lists, personal details, pricing, vendor bids, and proprietary planning materials (Confidential Information). Confidential Information shall not include information that is publicly available through no breach of this Agreement or independently developed by the receiving party. The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose it to third parties except to permitted vendors and service providers who have a need to know and are bound by confidentiality obligations.

Liability and Insurance

Planner will exercise reasonable care in performing services. Planner does not assume liability for acts or omissions of third-party vendors retained by Client or Planner. Client is responsible for obtaining any event insurance and permits required by applicable law. To the extent permitted by law, Planner's total liability for any claim arising under or related to this Agreement shall not exceed the total fees paid to Planner under this Agreement.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the state of without regard to conflict of laws principles. The parties agree to attempt to resolve disputes in good faith by negotiation, and if unresolved, to submit the dispute to binding arbitration in the governing state unless otherwise mutually agreed in writing.

Entire Agreement

This Agreement, including any attachments, schedules, and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, negotiations, and representations, whether written or oral. Any amendment must be in writing and signed by both parties.
