Parties

Recitals

WHEREAS, Guardian desires to engage Service Provider to perform childcare and related services for the children identified herein under the terms and conditions of this Agreement; and

WHEREAS, Service Provider represents that it is qualified and experienced to provide such services and is willing to provide those services in accordance with this Agreement and applicable law; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Scope of Work

Service Provider will provide caregiving, supervision, and age-appropriate activities for the child(ren) named by Guardian. Specific duties, schedules, and special needs must be described below.

Payment Terms

Guardian shall pay Service Provider the fees set forth below in consideration for the services provided. Unless otherwise agreed in writing, all amounts are due in U.S. dollars and payable in accordance with the schedule below.

All payments not received within seven (7) days of the due date shall accrue the Late Fee described above and may result in suspension of services until arrears are cured. Guardian shall reimburse Provider for reasonable costs of collection, including attorneys' fees, if applicable.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause by providing the other party written notice in accordance with the Notice Period. Provider may terminate immediately for cause upon a material breach by Guardian, including nonpayment or conduct that places children at risk.

Confidentiality

Each party acknowledges that during the term of this Agreement it may receive Confidential Information of the other party. "Confidential Information" means non-public information relating to the children, family matters, medical records, emergency contacts, payment information, and any other information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (i) protect Confidential Information with the same degree of care it uses for its own confidential information but no less than reasonable care; (ii) use Confidential Information solely to perform its obligations under this Agreement; and (iii) not disclose Confidential Information to third parties except as required by law or with prior written consent. Confidentiality obligations survive termination for a period of three (3) years, except that medical and child protection records shall be retained and protected as required by law.

Liability and Insurance

Provider will exercise reasonable care in the performance of services. Provider shall maintain general liability insurance as reasonably appropriate to the scope of services. Guardian acknowledges that no minor risk can be entirely eliminated and agrees to hold Provider harmless from claims arising from ordinary incidents of childcare, except to the extent caused by Provider's gross negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State specified below without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising under this Agreement.

Entire Agreement; Amendment; Severability

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by both parties. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
