Termination for Convenience: Either party may terminate this Agreement upon written notice to the other party not less than prior to the intended termination date. Termination shall not relieve Client of payment obligations for services performed and expenses incurred prior to termination.

CONFIDENTIALITY

Definition: "Confidential Information" means non-public information disclosed by one party to the other in connection with this Agreement, including concept drafts, unannounced Announcement dates, medical information, client lists, pricing, and any materials marked or reasonably understood to be confidential.

Obligation: The receiving party shall hold Confidential Information in strict confidence, shall not disclose it to any third party without prior written consent, and shall use it only for performance under this Agreement. The foregoing obligation does not apply to information that is or becomes generally available to the public other than through disclosure by the receiving party, or that is independently developed without use of the disclosing party's Confidential Information.

Provider acknowledges that premature disclosure of Announcement information could cause irreparable harm, and Provider agrees to take all reasonable measures to safeguard Announcement details until Client authorizes disclosure.

INTELLECTUAL PROPERTY AND PUBLICITY

Ownership: Upon full payment of all fees due under this Agreement, Client shall own the finalized Announcement materials delivered pursuant to this Agreement, except for any pre-existing Provider materials and Provider's proprietary tools which remain Provider's sole property. Provider hereby assigns to Client all right, title, and interest in and to the final deliverables to the extent assignable.

Publicity: Provider may request permission to use the Announcement materials for Provider's promotional purposes. Client's permission shall not be unreasonably withheld; such permission, if granted, shall be provided in writing and may be limited as to scope and duration.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Venue for any dispute arising out of this Agreement shall be in the state or federal courts located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

Independent Contractor: Provider is an independent contractor and is solely responsible for its employees, agents, taxes, and insurance obligations. Nothing in this Agreement shall be construed to create an employer-employee relationship, joint venture, or partnership between the parties.

Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
