FAMILY SERVICES AGREEMENT

This Family Services Agreement (the "Agreement") is entered into as of by and between Client Name: with Address: and Service Provider: .

WHEREAS

WHEREAS, Client desires to retain Service Provider to perform family-oriented support services as described herein, including but not limited to childcare coordination, in-home companionship, and case planning (the "Services"); and

WHEREAS, Service Provider represents that it has the qualifications, experience, personnel, and resources necessary to perform the Services in a professional manner and in accordance with applicable professional standards; and

WHEREAS, the parties desire to set forth the terms and conditions governing the provision of the Services and their respective obligations.

SCOPE OF SERVICES

Service Provider shall perform the Services with reasonable care and skill in accordance with recognized industry standards. Services may include scheduling, coordination of care, supervised visitation oversight, transportation for appointments, and preparation of brief written progress summaries. Any material change to the Scope of Services shall require written amendment executed by both parties.

PAYMENT TERMS

As full compensation for the Services, Client shall pay Service Provider the fees set forth below in accordance with this Section. Fees shall be computed and payable in United States dollars.

Service Provider shall submit invoices in writing. Client shall pay undisputed invoices within the time specified above. If Client disputes any portion of an invoice in good faith, Client must notify Service Provider in writing within ten (10) days of receipt of the invoice and the parties shall promptly attempt to resolve the dispute. Late payments shall accrue interest as set forth above and Service Provider may suspend Services after ten (10) days' written notice if invoices remain unpaid.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for Cause upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within fourteen (14) days of receiving written notice specifying the breach. Termination by Client shall not relieve Client of the obligation to pay for Services performed and reasonable wind-down costs incurred by Service Provider prior to termination.

CONFIDENTIALITY

"Confidential Information" means all non-public information disclosed by either party to the other in any form that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including family records, medical and counseling records, case notes, schedules, and personal contact information. Service Provider shall hold Confidential Information in strict confidence, shall not disclose such information to third parties except as required by law or as necessary to perform the Services, and shall use Confidential Information solely for the purposes of performing its obligations under this Agreement. The confidentiality obligations shall survive termination of this Agreement for a period of five (5) years.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses provided above by personal delivery, certified mail (return receipt requested), or nationally recognized overnight courier, and shall be effective upon receipt.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws rules.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written amendments executed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any modification or waiver of any provision of this Agreement must be in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, provided that Service Provider may assign to an affiliate or successor in interest without Client consent so long as the assignee assumes Service Provider's obligations hereunder.
