What a Farm Equipment Agreement Is

Farm Equipment Agreement is a written contract that establishes terms for sale, lease, loan, or rental of agricultural machinery and implements between parties. It defines equipment description, delivery and acceptance terms, payment schedule, security interest or lien provisions, maintenance responsibilities, warranties, insurance requirements, liability allocation, and procedures for inspection, repair, or repossession. The agreement can include fields for serial numbers, odometer hours, attachments, and accessories. Parties may use electronic signatures where permitted by federal and state law, provided the record meets ESIGN and UETA requirements.

Why a Written Agreement Matters

Using a Farm Equipment Agreement clarifies ownership, allocates risk, preserves lien rights, and documents payment and maintenance obligations. A written agreement reduces disputes, supports financing or security interests, and provides a clear record for tax and insurance purposes under applicable state law.

Why a Written Agreement Matters

Who Typically Uses This Agreement

Typical parties who use Farm Equipment Agreements include equipment owners, dealers, lessees, lenders, and agricultural operators.

  • Equipment sellers and dealers documenting transfer of title and warranties.
  • Farm operators leasing seasonal or long-term machinery, defining use limits and maintenance duties.
  • Lenders or lessors securing collateral, specifying default remedies, repossession, and insurance requirements.

Agreements also serve auditors, insurers, lenders, and courts as clear evidentiary records if disputes or insurance claims arise.

Representative Roles and Responsibilities

Dealer Manager

The dealer manager prepares standardized Farm Equipment Agreements to include exact serial numbers, warranty disclaimers, and a security interest. They coordinate UCC-1 filings for financed sales and verify insurance naming to protect company priority and limit post-sale liability.

Farm Operator

A farm operator signs leases and purchase agreements, tracking equipment hours and maintenance obligations. They use detailed acceptance records and photographs to protect operational continuity and to resolve warranty or condition disputes quickly with vendors or lessors.

Essential Sections to Include

A professional Farm Equipment Agreement organizes rights and obligations into clear sections covering description, payment, transfer conditions, risk allocation, remedies, and compliance terms.

Equipment Description

Provide make, model, year, serial number, hour meter reading, attachments, and condition. Attach photographs or an exhibit for clarity and to minimize disputes over condition at delivery.

Payment Terms

Specify purchase price, deposit amount, payment schedule, late fee rates, and accepted payment methods. State whether payments secure a security interest and how prepayment is handled.

Delivery & Acceptance

Define delivery date or window, transportation responsibilities, inspection period, acceptance criteria, and procedures for rejection or required repairs following delivery.

Warranties & Liability

State any manufacturer or seller warranties, disclaimers of implied warranties, limits on liability, and indemnity obligations between the parties.

Insurance & Risk

Require insurance coverage types and limits, name additional insureds, allocate risk during transit and storage, and specify proof of insurance obligations.

Default & Remedies

Detail events of default, cure periods, late charges, repossession rights, recovery of collection costs, and procedures for sale of remaining interest.

Step-by-Step Execution Sequence

Follow the steps below to prepare, review, negotiate, and execute a Farm Equipment Agreement correctly and consistently.

  • 01
Draft: Describe equipment, price, dates, and parties.
  • 02
Review: Have legal and insurance review clauses and risk allocation.
  • 03
Negotiate: Agree changes, document countersignatures, and finalize exhibits.
  • 04
Sign: Ensure authorized signers sign and dates are recorded.

Configure Your Online Signing Workflow

Configure the online workflow: place fields, assign signer order, and set authentication to secure electronic execution of the agreement.

Field Configuration
Signature Field Signer signs with email link or SMS code authentication
Date Field Auto-fill on signing; MM/DD/YYYY format enforced
Serial Number Field Free-text with maxlength 30; use exact equipment serials
Attachment Field Allow photos of equipment; limit 10 files, JPG or PDF

Typical eSubmission Flow for Execution

Typical electronic submission flow shows how the sender prepares, delivers, gets signatures, and stores a completed Farm Equipment Agreement.

  • Upload: Sender uploads final PDF or DOCX.
  • Fields: Place signature, initial, date, and serial number fields.
  • Send: Send email link or share a signing URL.
  • Complete: Signer authenticates, signs, and receives a copy.

Platform Capabilities to Verify Before e-Signing

Verify the platform supports PDF and DOCX imports, mobile signing, audit trails, and common integrations before e-submission.

  • Formats: Supports PDF, DOCX, and Excel.
  • Integrations: Connects with NetSuite, Salesforce, and Google Workspace.
  • Auth: Email, SMS code, or two-factor options.

Risks If the Agreement Is Incorrect

Loss of Lien Rights: Failure to file UCC-1 may forfeit secured status.
Incorrect Equipment ID: Wrong serial numbers can void remedies.
Unclear Payment Terms: Leads to collection disputes.
Insurance Gaps: Insufficient coverage increases liability.
Improper Signatory: Unauthorized signer may render contract void.
Tax Reporting Errors: Misstated sale could trigger IRS penalties.

Common Preparation Mistakes to Avoid

  • Failing to describe equipment precisely (model, serial, hours) leads to disputes and undermines warranty or condition claims at delivery or repossession.
  • Neglecting to file a UCC-1 financing statement after retaining a security interest risks losing priority to subsequent creditors.
  • Using ambiguous maintenance obligations or vague repair windows creates conflicts about who bears repair costs and downtime.
  • Skipping documented inspection and acceptance process increases risk of claims and complicates repossession timelines.

Practical Steps to Reduce Risk and Disputes

Adopt standard practices to reduce disputes, ensure enforceability, and simplify accounting for equipment transactions.

Document condition and accessories
At delivery, record equipment condition with dated photos, list all attachments and worn parts, and have both parties sign an acceptance checklist. This creates contemporaneous evidence to resolve later condition disputes and supports warranty or repair claims.
Perfect your security interest
If the seller or lender retains a security interest, file a UCC-1 financing statement promptly in the debtor's state, describe collateral accurately, and consider continuation statements to maintain priority beyond the initial term.
Specify insurance and indemnity
Require liability and physical damage coverage at stated minimums, name the secured party as additional insured or loss payee as appropriate, and allocate indemnity for third-party claims arising from equipment use.
Use clear default remedies
Define cure periods, repossession processes that comply with state law, and sale procedures for recovered equipment. Include notice requirements and allocation of sale proceeds and collection costs.

Practical Use Cases

Real-world situations show how Farm Equipment Agreements prevent disputes and protect lender priorities across sales, leases, and repairs.

Short-Term Lease

A Midwestern dairy operator executed a seasonal lease to supplement harvest capacity and avoid capital purchase during high crop prices.

  • Lease limited hours and required weekly inspections.
  • Because the agreement enumerated permitted hours, maintenance responsibilities, and acceptance procedures with photos, the lessor and lessee resolved a disputed wear claim by referring to signed inspection records and avoided lengthy dispute resolution and replacement costs.

Secured Sale

An equipment dealer sold a baler with retained security interest to a cattle operation and filed a UCC-1 to protect priority against subsequent creditors.

  • Dealer filed UCC-1 and required insurance naming lender.
  • When the buyer defaulted, the filed financing statement preserved the dealer's priority; repossession followed state law notifications and a public sale recouped remaining balance after permitted deductions and legal fees.
