What a Farm Supply Agreement Covers

A Farm Supply Agreement is a written contract between a grower or farming operation and a supplier that sets out the terms for provision of agricultural inputs, equipment, or services. It defines parties, goods or services supplied, specifications, pricing, delivery schedules, inspection and acceptance procedures, payment terms, risk allocation, warranties, and remedies. Properly drafted agreements reduce disputes about quantity, quality, timing, and payment and create a clear record for regulatory, tax, and financing purposes while supporting enforceability in court or arbitration.

Why a Clear Agreement Matters for Farms and Suppliers

A Farm Supply Agreement protects both parties by clarifying expectations, allocating risk, and documenting payment and delivery obligations. It helps secure financing, supports inventory planning, and creates evidence for dispute resolution or insurance claims.

Why a Clear Agreement Matters for Farms and Suppliers

Who Typically Prepares and Signs This Agreement

The agreement is commonly prepared by suppliers, farm managers, or in-house counsel and signed by authorized representatives of each party.

  • Farm operators and producers who purchase seed, fertilizer, feed, or equipment and need fixed terms for supply and delivery.
  • Input suppliers, distributors, and cooperatives supplying goods on credit or contract terms to agricultural customers.
  • Agricultural lenders, coop purchasing managers, and primary contractors that require contractual assurances and security provisions.

Ensure the signer has corporate or farm-authority documentation to bind the business; lacking authority can create enforceability issues.

Essential Sections to Include in a Professional Farm Supply Agreement

A complete agreement addresses parties and scope, product details, pricing, delivery, inspection, risk of loss, payment and credit terms, warranties, indemnities, insurance, remedies, term, termination, and governing law.

Warranties & Limits

  • Accounting: Send invoice and payment terms to accounts payable for processing.
  • Operations: Provide delivery schedule and inspection instructions to warehouse or field teams.
  • Legal/Compliance: Archive executed contract and redline for future audits or disputes.

Digital Signing and Integration Considerations
