What a Farming Services Agreement Is and When It Applies

A Farming Services Agreement is a written contract between a landowner and an agricultural service provider that sets responsibilities for planting, cultivating, harvesting, and managing crops or livestock on defined acreage. It allocates duties for labor, equipment, inputs, compensation (flat fee, per-acre, or crop-share), risk allocation, insurance requirements, recordkeeping, and timing for seasonal work. The document defines termination rights, dispute-resolution mechanisms, and required notices. A clear, signed agreement reduces disputes, supports tax and insurance claims, and documents obligations for lenders and auditors.

Why a Farming Services Agreement Matters for Operations and Risk

A Farming Services Agreement clarifies roles, payment mechanics, and insurance responsibilities, minimizing disputes over crop inputs, harvest timing, and equipment use. Properly executed agreements support enforceability under ESIGN and UETA for electronic signatures and provide documentary evidence for tax, insurance, and lending purposes.

Why a Farming Services Agreement Matters for Operations and Risk

Common Parties and Stakeholders

Landowners, tenant farmers, custom operators, crop managers, and agricultural lenders frequently use a Farming Services Agreement to document responsibilities and payment terms.

  • Landowners and property managers who engage outside operators for crop or livestock services.
  • Custom operators and farm contractors providing planting, harvesting, equipment rental, and labor.
  • Agricultural lenders, insurers, and advisors that require documented service obligations for risk assessment.

The agreement also serves insurers, input suppliers, and advisors who rely on documented obligations for underwriting, audits, and crop-loss assessments.

Core Sections to Include in a Farming Services Agreement

Key provisions shape operational clarity, payment certainty, and legal responsibility; include sections that define the parties, work scope, and how losses and records are handled during a season or multi-year engagement.

Parties

Identify landowner, service provider, and any third parties with legal names, addresses, and authorized signers so responsibilities and notices bind clearly identified entities during disputes or audits.

Scope of Work

Describe services—tillage, planting, fertilization, pest control, irrigation, harvesting—acres, crop types, schedules, and measurable performance standards to prevent scope creep and align expectations.

Compensation

Specify payment terms (per-acre, fixed fee, or crop-share), invoicing schedule, adjustments for input cost or yield, and late payment remedies to avoid financial disputes.

Risk Allocation

Allocate risk for weather, pests, disease, and crop failure; require insurance where needed and define indemnities for equipment damage or third-party claims during the contract.

Term & Termination

Set effective date, term length, renewal options, required notices, and termination triggers like breach, insolvency, or force majeure to manage seasonal obligations and exit rights.

Compliance & Records

Define recordkeeping, access for inspections, pesticide and fertilizer logs, tax reporting responsibilities, and obligations to comply with environmental or labor regulations for audit readiness.

Step-by-Step: Preparing, Executing, and Storing the Agreement

Follow this sequential checklist to prepare the agreement, secure signatures, and maintain records for the contract term and any post-termination obligations.

  • 01
Prepare Draft: Assemble parties, scope, and compensation details.
  • 02
Review & Negotiate: Confirm insurance, indemnity, and termination clauses.
  • 03
Sign & Authenticate: Obtain signatures, notarization, or witnesses as required.
  • 04
Distribute & File: Share executed copies with stakeholders and retain records per retention policy.

Where to Send, Store, and Share Executed Copies

A simple routing workflow for executed agreements and the typical destinations for signed copies and supporting records.

  • Send to Parties: Email executed copies to all signers and designated representatives.
  • Lender/Insurer: Provide copies to mortgagees or insurers when required by loan or policy terms.
  • Advisors: Share schedules and logs with agronomists, extension agents, or crop consultants.
  • Recordkeeping: Store the final PDF with audit trail in a secure repository for retrieval.

Technical and Integration Considerations

Technical requirements and integrations to review before completing and exchanging the Farming Services Agreement electronically across devices and systems.

  • File Formats: PDF, Word DOCX, PDF/A supported
  • Authentication: Email, SMS, KBA, or SSO options
  • Integrations: Salesforce, NetSuite, Google Workspace, Box

Security and Compliance Features to Verify

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest

Access Controls: Role-based permissions and SSO options
HIPAA: BAA available when PHI is present
21 CFR Part 11: Support for FDA-regulated record controls
Certifications: SOC 2 Type II and ISO 27001 available

Common Mistakes to Avoid When Preparing the Agreement

  • Using ambiguous scope language that omits acres or crop types, which leads to scope disputes during harvest time and impedes damage allocation.
  • Failing to specify compensation triggers and calculation methods, creating disagreements about payment after atypical yields or crop losses.
  • Omitting insurance and indemnity requirements, leaving one party exposed to uninsured losses or third-party claims.
  • Not documenting input ownership (seed, fertilizer, chemicals), causing conflict over reimbursement and tax reporting at season end.

Risks and Contractual Consequences of Errors

Breach Exposure: Damages and termination rights
Tax Risk: Incorrect reporting triggers audits
Insurance Denial: Noncompliance can void coverage
Lien Risk: Unpaid services may become lienable
Operational Delay: Ambiguity can halt planting/harvest
Enforcement Cost: Legal fees and collection expenses
