What a Farming Signatories Agreement Is

A Farming Signatories Agreement is a written contract that identifies individuals authorized to sign documents and make decisions on behalf of a farm business, cooperative, or landowner. It clarifies scope of authority for contracts, lease agreements, grant applications, loan documents, and government program submissions. The agreement records names, titles, authorization limits, effective dates, and revocation procedures so third parties know who may bind the enterprise. It is used to reduce disputes, speed transactions, and ensure counterparties accept signatures from designated representatives.

Why a Dedicated Signatories Agreement Matters

A clear signatories agreement reduces transaction friction, prevents unauthorized commitments, and preserves lender and vendor confidence by documenting authority limits, revocation steps, and record retention for agricultural operations.

Why a Dedicated Signatories Agreement Matters

Who typically prepares and signs this agreement

Key stakeholders in farming operations should prepare or review a signatories agreement before delegating authority.

  • Farm owners and operators who delegate signing authority to managers, successors, or family members for operational continuity.
  • Agricultural lenders and credit officers who require documented signatory authority before accepting loan documents or disbursing funds.
  • Farm managers, cooperative administrators, and authorized agents who need documented limits for purchasing, payroll, and contract approvals.

Use the agreement to communicate authority to banks, buyers, cooperatives, government agencies, and internal staff to prevent disputes and delays.

Core components to include in a professional agreement

A complete Farming Signatories Agreement explicitly sets out parties, the authority granted, limits, signature formats, revocation mechanics, and recordkeeping procedures so third parties can verify signers and rely on signatures with confidence.

Parties

Full legal names of the farm entity, landowner, and any individual signatories, plus entity type (LLC, partnership, sole proprietorship).

Authority Scope

Describe specific transactions covered — e.g., lease execution, crop sales, loan closing, grant applications — and any dollar or term limits.

Signature Format

Specify acceptable signature methods (handwritten, scanned, typed, or electronic) and any required signer authentication or notarization.

Duration & Revocation

Set effective date, expiration or review schedule, and how to revoke authority (written notice to counterparty or recorded amendment).

Notarization & Witnesses

Indicate whether signatures require notarization, remote online notarization, and how many witnesses when state law or counterparties demand them.

Recordkeeping

State where executed originals and electronic copies are stored, who maintains them, and the retention period for compliance and audit purposes.

Step-by-step: complete and execute the agreement

Follow these sequential actions to prepare, approve, and distribute a valid Farming Signatories Agreement.

Where to send executed copies and who receives them

After execution, route completed agreements to parties that rely on signatory authority and to internal recordholders.

  • Lenders: Send an executed copy to any lender or lender counsel requiring proof of authority.
  • Cooperatives/Buyers: Provide copies to cooperatives, buyers, or brokers that accept delegated authority.

Common preparation mistakes to avoid

  • Using informal or abbreviated legal names that do not match organizational formation documents, causing rejection by banks and registries.
  • Failing to specify dollar limits or action types for delegated authority, leading to ambiguity and disputed transactions.
  • Neglecting notarization or witness requirements when counterparties or state law demand them, which can invalidate recorded instruments.
  • Not updating or revoking authorities after personnel changes, resulting in unauthorized commitments and potential liability.

Risks and consequences of incorrect or incomplete agreements

Invalid Authority: Counterparty refuses to accept signatures.
Contract Rejection: Lender or buyer may delay or deny transactions.
Financial Exposure: Unauthorised commitments can create liability for the farm.
Recording Errors: Improperly executed instruments may be unrecordable.
Regulatory Risk: Failure to retain records can harm audits.
Fraud Allegations: Unsigned or forged signatures pose criminal risk.

Essential information to capture in the agreement

Party Names: Full legal names
Titles: Official job titles
Tax ID: EIN or SSN as applicable
Authority Clause: Scope and limits
Effective Date: MM/DD/YYYY
Notary Block: Notary and witness details
