Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. Confidential Information means non-public information disclosed in connection with this Agreement, including trade secrets, pricing, and business plans. Each party shall (i) hold such information in strict confidence, (ii) use it only to perform its obligations under this Agreement, and (iii) not disclose it to any third party except to employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein. Confidentiality obligations survive termination for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified above, without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for any action arising out of this Agreement.

Entire Agreement

This Agreement, together with any attachments and written amendments signed by both parties, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No modification of this Agreement shall be effective unless in writing and signed by both parties.

Transmission Note: This document is transmitted by fax for convenience and shall have the same legal effect as an original signed document when the parties sign below. A faxed or electronic image of an executed signature page shall be deemed an original for all purposes.
