RECITALS

WHEREAS, Company intends to obtain consumer report(s) and/or investigative consumer report(s) concerning Applicant in connection with Applicant's application for employment, retention, promotion, or other legitimate business purpose; and

WHEREAS, Applicant acknowledges receipt of this written disclosure that a consumer report may be obtained for employment purposes and understands the nature and scope of the investigation to be conducted; and

WHEREAS, the parties desire to set forth their agreement concerning the disclosure, authorization, use, and handling of consumer report information in accordance with the Fair Credit Reporting Act and related law.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. DEFINITIONS

"Consumer Report" means any written, oral, or other communication of information by a consumer reporting agency bearing on Applicant's credit worthiness, credit standing, credit capacity, character, general reputation, personal characteristics, or mode of living which is used or expected to be used for employment purposes. "Investigative Consumer Report" means a consumer report in which information on Applicant's character, general reputation, personal characteristics, or mode of living is obtained through personal interviews with neighbors, friends, or associates.

2. DISCLOSURE AND AUTHORIZATION

Company expressly notifies Applicant that a Consumer Report and/or Investigative Consumer Report may be obtained for employment purposes. Applicant understands that such reports may contain information regarding Applicant's credit history, criminal history, driving records, education and employment verification, and other background information.

By signing below, Applicant authorizes Company and any consumer reporting agency engaged by Company to obtain and furnish Consumer Reports and Investigative Consumer Reports about Applicant for employment-related purposes now and at any time during Applicant's employment, to the extent permitted by law.

If Company takes any adverse action based in whole or in part on information contained in a consumer report, Company will provide Applicant with a notice that includes the name, address, and phone number of the consumer reporting agency that supplied the report, a statement that the agency did not make the adverse decision and cannot give specific reasons for it, and a notice of Applicant's right to obtain a free copy of the report from the agency and to dispute the accuracy or completeness of the information.

6. DUTIES OF COMPANY

Company represents that it will use information obtained in consumer reports only for permissible purposes as defined by law; will maintain the confidentiality of such information; and will not disclose report information except as permitted by law or with Applicant's express written consent.

7. CONFIDENTIALITY AND RECORDS DISPOSAL

Company will take reasonable measures to protect consumer report information from unauthorized access and will dispose of such information in a manner designed to protect against unauthorized access in accordance with applicable law.

8. REPRESENTATIONS & WARRANTIES

Applicant represents and warrants that all information provided to Company in connection with this disclosure is true, complete, and correct. Applicant authorizes any person or entity to release to Company or its designated consumer reporting agency any information requested in connection with the consumer report.

9. NOTICES

All notices, requests, or other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by written notice to the other.

10. AMENDMENT; WAIVER; COUNTERPARTS

This Agreement may be amended only by a written instrument executed by both parties. No waiver of any term or condition shall be effective unless in writing signed by the party waiving the breach. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the substantive laws of the state whose laws are applicable to the locale where the Company is principally located, without regard to conflict of laws principles.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to such subject matter.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal, or unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

14. ACKNOWLEDGMENTS

Applicant acknowledges receipt of this disclosure and certifies that Applicant has read and understands the meaning and effect of this Authorization and Disclosure and agrees that a facsimile, electronic, or photographic copy of this document shall be as valid as the original.

15. ACKNOWLEDGMENT OF RIGHTS

Applicant acknowledges that Applicant has been informed of the Applicant's rights under applicable law in connection with the procurement of consumer reports and investigative consumer reports, including the right to dispute the accuracy of any information contained in such reports.
