FEATURED SPEAKER AGREEMENT

This Featured Speaker Agreement (the Agreement) is entered into as of by and between Speaker Name: ("Speaker") and Host Name: ("Host").

RECITALS

WHEREAS, Host is organizing an event, conference or program and desires to engage Speaker to deliver a presentation on the topic described below; and

WHEREAS, Speaker represents that Speaker has the qualifications, experience and expertise to present and desires to perform the Services (as defined below) pursuant to the terms set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to Speaker's engagement.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. ENGAGEMENT AND SERVICES

1.1 Engagement. Host engages Speaker, and Speaker accepts engagement, to deliver the presentation and related services described in this Agreement (the Services) at the time and place specified below.

2.1 Fee. As full and complete consideration for the Services, Host shall pay Speaker a fee of $ (the Fee). The Fee shall be inclusive of Speaker's preparation time, unless otherwise agreed in writing.

2.2 Payment Schedule. Host shall pay a deposit of $ upon execution of this Agreement and the balance within days after performance, unless otherwise stated:

3. EXPENSES AND TRAVEL

3.1 Travel and Expenses. Host shall reimburse Speaker for reasonable travel, lodging and meal expenses pre-approved by Host. Reimbursable expenses shall be supported by receipts and paid within days of submission. Pre-approval limit per person: $.

3.2 Travel Arrangements. Host will coordinate and pay for Speaker's airfare and ground transportation, or reimburse Speaker upon provision of invoices, as selected by Host.

4. SPEAKER OBLIGATIONS

4.1 Performance Standards. Speaker shall prepare and deliver an original presentation of professional quality, be available for reasonable promotional activities as agreed, and conduct himself or herself in a professional manner.

4.2 Materials; Bio. Speaker shall provide presentation materials and an author biography no later than days prior to the Event. Materials provided by Speaker shall not infringe third-party rights.

5. GRANT OF RIGHTS AND RECORDINGS

5.1 Recording Rights. Speaker hereby grants Host the nonexclusive, royalty-free right to record, reproduce, distribute, and stream the presentation in connection with Host's promotion and archival purposes, unless Speaker elects to retain exclusive rights by checking here:

6. CONFIDENTIALITY

6.1 Definition. "Confidential Information" means nonpublic information disclosed by one party to the other marked or reasonably understood to be confidential.

6.2 Obligations. Each party shall hold Confidential Information in confidence and not disclose it except to employees, contractors or agents who have a need to know and are bound to confidentiality obligations at least as protective as those in this Agreement. Confidentiality obligations shall survive termination for three (3) years.

7. INTELLECTUAL PROPERTY

7.1 Ownership. Speaker retains all right, title and interest in Speaker's pre-existing materials and any materials created by Speaker exclusively prior to or outside the scope of this Agreement. Host obtains a license only as expressly granted herein.

7.2 License to Host. To the extent Speaker provides new, deliverable content and subject to payment in full, Speaker grants Host a nonexclusive license to use such deliverable materials for Host's internal purposes and promotional use for the Event.

8. CANCELLATION; FORCE MAJEURE

8.1 Cancellation by Host. If Host cancels the engagement more than days before the performance date, Host shall refund any deposit; if cancellation occurs within days of the performance date, Host shall pay of the Fee as cancellation compensation, unless otherwise agreed.

8.2 Force Majeure. Neither party shall be liable for failure to perform due to causes beyond its reasonable control, including acts of God, government action, pandemics, strikes, or other events of force majeure. The affected party must notify the other promptly and use reasonable efforts to reschedule.

9. INDEPENDENT CONTRACTOR; INSURANCE

9.1 Independent Contractor. The parties acknowledge Speaker is an independent contractor and not an employee, partner, or agent of Host. Speaker shall have no authority to bind Host to third parties.

9.2 Insurance. Speaker agrees to maintain at Speaker's expense insurance customary for presenters, including general liability coverage, and shall provide proof of insurance upon Host's reasonable request.

10. INDEMNIFICATION

10.1 Mutual Indemnity. Speaker shall indemnify, defend and hold harmless Host from any claims arising from Speaker's breach of representations, willful misconduct or infringement of third-party rights. Host shall indemnify Speaker for claims arising out of Host's gross negligence or willful misconduct.

11. PUBLICITY

11.1 Promotional Use. Host may use Speaker's name, likeness and provided biography to promote the Event. Speaker consents to reasonable use of such materials in Event marketing unless Speaker indicates restrictions here:

12. REPRESENTATIONS AND WARRANTIES

12.1 Each party represents and warrants that it has the power and authority to enter into this Agreement, that this Agreement is a legal, valid and binding obligation, and that performance will not violate any applicable law or contractual obligation.

13. LIMITATION OF LIABILITY

13.1 Except for liability arising from gross negligence, willful misconduct or breach of confidentiality or indemnity obligations, neither party shall be liable for incidental, consequential, special or punitive damages arising from this Agreement. The aggregate liability of each party for direct damages shall not exceed the Fee paid to Speaker under this Agreement.

14. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses below by hand, overnight courier, or certified mail (return receipt requested). Notices are effective upon receipt.

15. AMENDMENTS; WAIVER; COUNTERPARTS

15.1 Amendments. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.

15.2 Waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

15.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

16. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

16.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

16.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior understandings, proposals, or agreements, written or oral.

16.3 Severability. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable.

17. MISCELLANEOUS

17.1 Relationship of the Parties. Nothing in this Agreement shall create an employment relationship, joint venture, or partnership between the parties.

17.2 Remedies. The parties agree that monetary damages may be inadequate to remedy a breach of confidentiality or intellectual property provisions and that the non-breaching party shall be entitled to injunctive relief in addition to other remedies.
