FEDERAL RETAINER AGREEMENT

This Federal Retainer Agreement (the Agreement) is made effective as of by and between Client Name: , Client Address: (Client), and Attorney Firm Name: , Firm Address: (Firm).

RECITALS

WHEREAS, Client desires to retain Firm to provide legal services in connection with federal administrative, regulatory, or judicial matters described below; and

WHEREAS, Firm is willing to undertake such engagement subject to the terms and conditions set forth in this Agreement and applicable ethical rules governing attorneys; and

WHEREAS, the parties wish to set forth their understanding regarding fees, costs, scope of representation, termination, and other matters.

NOW THEREFORE

In consideration of the mutual promises contained herein, the parties agree as follows.

1. ENGAGEMENT; SCOPE OF SERVICES

1.1 Engagement. Client retains Firm to represent Client in matters before federal administrative agencies, federal regulatory bodies, and federal courts as specifically described in the Matter Description. The engagement does not include separate state or local matters except to the extent required to pursue the federal matter.

1.2 Scope Limitations. Firm will not provide tax, accounting, or unrelated litigation services unless specifically agreed in writing. Services to be provided include legal advice, drafting and filing pleadings and administrative submissions, representation at hearings and negotiations, and appeals as expressly authorized by Client.

2. RETAINER; FEES; BILLING

2.1 Retainer. Client shall pay an initial retainer in the amount of , to be deposited into Firm's trust account and applied against fees and expenses incurred. The retainer shall be replenished upon request by Firm to maintain an adequate trust balance.

2.2 Hourly Rates. Unless otherwise agreed in writing, attorneys will bill at the following hourly rates: Lead Attorney: per hour; Associate: per hour; Paralegal: per hour. Firm may adjust rates upon reasonable written notice to Client.

2.3 Billing; Payment. Firm will render periodic invoices detailing services performed and disbursements. Invoices are payable within days of receipt. Client shall pay items billed from the trust retainer, then any remaining unpaid balance directly to Firm.

3. COSTS AND EXPENSES

Client shall be responsible for reasonable out-of-pocket expenses incurred in connection with the representation, including but not limited to filing fees, expert fees, deposition costs, travel, photocopying, courier, and electronic research. Firm may request an advance for anticipated expenses.

4. CONFLICTS; CLIENT RESPONSIBILITIES

Client represents that Client has disclosed all known facts that may give rise to a conflict of interest. Client agrees to provide truthful information and to cooperate with Firm, to execute documents reasonably necessary to the representation, and to notify Firm promptly of any development material to the matter.

5. CONFIDENTIALITY; PRIVILEGE

Communications between Client and Firm are subject to the attorney-client privilege and will be kept confidential, except as authorized by Client or as required by law. Client consents that Firm may disclose limited information to outside consultants, experts, or opposing counsel as necessary to advance the representation, provided Firm takes reasonable steps to protect privileged information.

6. TERMINATION; WITHDRAWAL

Either party may terminate this Agreement at any time by written notice. Firm may withdraw if permitted by applicable professional rules, if Client fails to cooperate, or for nonpayment. Upon termination, Client shall pay for all services rendered and costs incurred through the effective date of termination. Firm will provide a final accounting and, after paying outstanding obligations and fees, will return any unearned portion of the retainer.

7. FILES AND RECORDS

Firm will maintain a file for the matter. Client may request copies of the file upon reasonable notice and payment of copying charges. Firm may destroy physical or electronic files after a reasonable retention period unless Client requests transfer or storage.

8. GOVERNING LAW; VENUE

This Agreement shall be governed by the laws selected by the parties below and, to the extent applicable, by federal law governing attorneys' professional obligations in federal practice. Governing Jurisdiction: . The parties submit to the exclusive jurisdiction of the federal and state courts located in the selected jurisdiction for purposes of resolving disputes arising under this Agreement.

9. ENTIRE AGREEMENT; AMENDMENTS

This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior agreements and understandings, whether oral or written. Any amendment must be made in writing and signed by both parties.

10. SEVERABILITY; WAIVER

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right shall not constitute a waiver of that right or any other right.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or to such other address as either party may designate by written notice).

12. ATTORNEYS' FEES AND COSTS

If either party brings an action to enforce the terms of this Agreement, the prevailing party shall be entitled to recover reasonable attorneys' fees and costs, subject to the court's discretion and applicable law.

13. DISPUTE RESOLUTION

The parties will attempt in good faith to resolve any fee or billing dispute informally within 30 days after a written notice of dispute. If the parties cannot resolve the dispute, the matter may be resolved by the courts identified in Section 8, or by arbitration if both parties agree in writing.

14. MISCELLANEOUS

14.1 Counterparts. This Agreement may be executed in counterparts, each of which is deemed an original and all of which together constitute one instrument. Electronic signatures and scanned copies of executed signatures shall be binding.

14.2 Cooperation with Ethical Obligations. Firm's obligations under this Agreement are subject to applicable professional conduct rules, including the duty to withdraw if continued representation would violate ethical rules.
