Where the governing agreement requires advance notice for fee increases, this notice satisfies that requirement and the Effective Date will be deemed the date set forth above. If the governing agreement requires negotiation prior to fee changes, the parties shall engage in good faith discussions within the notice period; absent mutual agreement to a different rate, the New Fee shall apply on its Effective Date.

Any dispute concerning the fee increase must be submitted in writing to Issuer within days of receipt of this notice, specifying the grounds for dispute and supporting documentation. Failure to timely notify Issuer will be deemed acceptance of the New Fee.
