FEE & LOA AGREEMENT

This Fee & Letter of Authorization Agreement (the Agreement) is entered into on this day: Day: Month: Year: by and between Service Provider Name: (Provider) and Client Name: (Client).

RECITALS

WHEREAS, Client desires Provider to perform the services and to be authorized to act on Client's behalf in accordance with the terms set forth below; and WHEREAS, Provider is willing to provide such services subject to the fees, authorizations and conditions contained in this Agreement.

DEFINITIONS

For purposes of this Agreement: "Services" means the work described in the Scope of Services; "LOA" means the Letter of Authorization granted by Client to Provider under this Agreement; "Effective Date" is the date set forth above.

SCOPE OF SERVICES

LETTER OF AUTHORIZATION (LOA)

Client hereby authorizes Provider to act as Client's agent solely to the extent required to perform the Services. Such authority includes, without limitation, the following specific authorizations (select applicable items):

Obtain account statements and transaction histories from financial institutions and third parties

Communicate and negotiate with issuers, custodians, brokers and other third parties on Client's behalf

Execute and deliver documents, authorizations and acknowledgements necessary to carry out the Services

Receive and direct disbursement of funds or refunds solely as instructed in writing by Client

Sub-delegate authority to designated agents or subcontractors subject to Provider's oversight

FEES & PAYMENT

Client agrees to pay Provider the fees set forth in the Fee Schedule below. All fees are non-refundable except as expressly provided. Invoicing will occur in accordance with the schedule below and are payable in cleared funds within the time specified.

EXPENSES & REIMBURSEMENT

Client shall reimburse Provider for all pre-approved, reasonable out-of-pocket expenses incurred in connection with the Services upon submission of receipts or other documentation. Reimbursable expenses not pre-approved by Client may be disputed in good faith.

TERM & TERMINATION

This Agreement commences on the Effective Date and remains in effect until terminated in accordance with this section. Either party may terminate with written notice to the other party in accordance with the notice provisions below. Termination does not relieve Client of its obligation to pay fees and expenses accrued through the effective date of termination.

REPRESENTATIONS & WARRANTIES

Each party represents and warrants that it has the legal power and authority to enter into and perform this Agreement, and that the execution and delivery of this Agreement has been duly authorized by all necessary corporate or other action.

CONFIDENTIALITY & DATA SECURITY

Provider will maintain in confidence all non-public information received from Client and will use commercially reasonable administrative, technical and physical safeguards to protect such information. Confidentiality obligations survive termination for a period of three (3) years unless otherwise specified in writing.

INDEMNITY & LIMITATION OF LIABILITY

Each party agrees to indemnify and defend the other party from claims arising out of its own breach or willful misconduct. Provider's aggregate liability for any claim relating to this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement, except for liability arising from willful misconduct or gross negligence.

GOVERNING LAW & DISPUTE RESOLUTION

This Agreement is governed by the laws of the jurisdiction identified below. Parties shall first attempt to resolve disputes in good faith through negotiation. If unresolved, disputes shall be resolved by binding arbitration as selected by the parties.

NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate by notice in accordance with this section.

MISCELLANEOUS

This Agreement constitutes the entire agreement between the parties and supersedes prior agreements relating to the same subject matter. No amendment shall be effective unless in writing and signed by both parties. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest by merger or sale of substantially all assets.
